Job Description:Support corporate governance and board administration activities by assisting with board meetings, governance documentation, subsidiary board management, and corporate secretarial functions under attorney oversight.

Day-to-Day Responsibilities:

  • Distribute board materials through governance platforms such as Diligent
  • Take meeting minutes and draft minutes for attorney review and board approval
  • Support governance activities for multiple subsidiary boards and legal entities
  • Assist senior corporate secretaries with board meetings, governance projects, and board communications
  • Gather, draft, and summarize information for board materials, presentations, and stakeholder communications
  • Manage governance-related requests through shared inboxes and internal communication channels
  • Coordinate meeting preparation activities, agendas, and supporting documentation
  • Draft governance-related memoranda, resolutions, and corporate records

Minimum Requirements:

  • Up to 10 years of combined law firm and in-house legal experience
  • 5 years of law firm experience
