Job description

The Commercial Counsel will play a key role in negotiating, drafting, and managing complex commercial contracts while supporting Vertiv's strategic market growth initiatives. This role partners closely with Sales, Strategy and Growth, and Leadership Teams to structure scalable, compliant, and risk-balanced agreements that enable market expansion and deepen customer relationships. The Commercial Counsel provides practical legal guidance on deal strategy and go-to-market approaches, anticipates and mitigates legal and commercial risks, and helps drive revenue growth by facilitating efficient, business-focused contracting processes.

ESSENTIAL FUNCTIONS: (List the major or most important job duties in order of most important to least important.)

  • Negotiate, draft, finalize, and manage various commercial agreements, including but not limited to sales agreements, ensuring clarity and alignment with Vertiv's business objectives and internal guidelines. 
  • Serve as a strategic legal advisor to business development teams by providing practical, business-focused counsel on market growth initiatives, go-to-market strategies, and expansion into new products and channels, ensuring alignment with legal, regulatory, and risk management objectives.
  • Effectively provide counsel and support for commercial transactions and objectives, leveraging advanced analytical skills and a deep understanding of legal and business considerations. 
  • Utilize contract lifecycle tools with focus on process improvement, leveraging technological advances, and management of commercial contracts and documentation.
  • Effectively provide counsel and support for general corporate and business matters, including but not limited to, strategy and business development, compliance, environmental, social and governance, marketing and communications, and manufacturing and operations, on as needed basis. 

EXPERIENCE AND SKILLS

  • Minimum 6 years of relevant experience at a large law firm or in-house publicly traded company having substantial domestic and international operations, in a commercial legal or commercial contracts role; 
  • Demonstrated strong experience with commercial transactions, including drafting and negotiating global and/or regional sales agreements;
  • Demonstrated strong experience in interpreting and explaining contract language and/or complex commercial matters to internal stakeholders; and, 
  • Demonstrated strong broad-based general corporate experience in various areas of law.

INTERACTIONS: (Describe the relationships and degree of contact with internal and external individuals or groups)

The Commercial Counsel will interact with our management and business associates across our business functions and departments, including but not limited to, sales, finance, compliance, risk management, order management, accounting, tax, manufacturing and operations, engineering, and strategy and business development teams, as well as customers, and other individuals depending on the matter at hand.

 

POSITION ELIGIBILITY REQUIREMENTS: (Special conditions required of the job such as travel, driver's license, physical working conditions.)

Position located at Vertiv corporate offices in Westerville, Ohio. 

MINIMUM QUALIFICATIONS: (Knowledge, Skills and Abilities Required.)

  • Collaboration. A good team player who helps others in the legal department and other Vertiv departments, and who is versatile, positive, and diplomatic.
  • Client Service. Ability to make positive impressions on clients (internal and external) by being polite, responsive, professional and helpful to users of legal services. Lives and displays in actions Vertiv's values, and provides candid and constructive counsel.
  • Judgment. Strong analytic, problem-solving, and decision-making skills, with the ability to consider both legal and business implications.  Strong attention to detail and persistent follow-through with professional tone. 
  • Communication. Ability to explain and advise clients of the facts and express points of view clearly and logically in written and oral communications. Must have excellent writing and communications skills, as well as practical and creative problem-solving skills.
  • Proficiency.  Strong desire to enhance efficiency with contract lifecycle management tools, including integrating Artificial Intelligence (AI) to automate tasks, analyze data, and enhance efficiency throughout the contract lifecycle.  
  • Planning. Ability to prioritize tasks logically and plan work efficiently to maximize the administrative support for legal function available from limited resources.  Ability to manage multiple contracts and high-volume workloads calmly, effectively, and independently. 
  • Independence. Highly motivated self-starter, able to accomplish tasks, make routine decisions and handle frequently encountered problems with minimum supervision, action oriented, results driven, sets clear expectations and milestones, reviews progress, acts decisively to solve problems, accountable for consistently meeting or exceeding goals.
  • Maintain Confidentiality. Ability/self-discipline to maintain the confidentiality of client information.

BASIC QUALIFICATIONS: (The minimum education, certification, special training and years of experience required to do a satisfactory job.) 

  • Juris Doctorate from a nationally-accredited law school with strong academic credentials.
  • Member in good standing of a state bar.
  • Minimum 6+ of relevant experience.
  • Advanced knowledge of standard commercial sales contract terms and related documentation.
