What does a junior commercial counsel do?

A Junior Commercial Counsel is a legal professional who assists companies with commercial contracts, compliance, and business transactions. They review, draft, and negotiate agreements such as vendor contracts, service agreements, and non-disclosure agreements. Their role also involves advising business teams on legal risks and ensuring the company's operations comply with relevant laws and regulations. Typically, they work under the supervision of senior legal counsel or general counsel and may collaborate with other departments like procurement, sales, and finance.

What are some common challenges a junior commercial counsel faces when supporting business teams on contracts?

As a Junior Commercial Counsel, one common challenge is balancing the need to protect the company’s legal interests while enabling business objectives and timelines. You may frequently encounter situations where you must quickly review and negotiate contract terms under tight deadlines, often coordinating with sales, procurement, and other internal teams. Navigating unfamiliar contract clauses, understanding different stakeholders’ priorities, and communicating legal risks in accessible language are essential skills. Over time, developing confidence in contract drafting and negotiation will help you contribute more effectively and take on greater responsibility.

What are the key skills and qualifications needed to thrive as a junior commercial counsel, and why are they important?

To thrive as a Junior Commercial Counsel, you typically need a law degree, admission to the bar, and a solid understanding of contract law and commercial transactions. Familiarity with document management systems, contract lifecycle management software, and knowledge of legal research tools like Westlaw or LexisNexis are often required. Strong attention to detail, effective communication, and negotiation skills help you excel in stakeholder interactions and risk assessment. These skills ensure accurate legal review, effective risk mitigation, and seamless support for business objectives.

Job description

We’re hiring a junior attorney (1–3 years of experience) to serve as both a client advisor and counterparty-facing negotiator and a contributor to our platform. This is a hybrid role combining traditional legal practice with product-minded thinking, working directly with startup and company clients while helping shape how legal services are delivered through our system. You’ll operate across a broad range of commercial contracting work, starting with documents like NDAs and non-reliance letters, and engagement letters, and growing into more complex areas such as services, technology, and data privacy agreements. In parallel, you’ll work closely with engineering and product to translate legal expertise into scalable workflows, playbooks, and platform features. This role is best suited for a business-minded attorney who has strong fundamentals and attention to detail, is eager to learn and is a great team player, and is excited about rethinking how legal services are built and delivered. Location: San Francisco, CA; Colorado; or Remote (US).

What you will do:
  • Support senior counsel for private equity firms, large public companies, and startups across commercial and transactional matters
  • Review and negotiate commercial contracts, starting with inbound and outbound NDAs, non-reliance letters, engagement letters, schedules to master agreements, and statements of work
  • Use a first-in-class AI tech stack (VectorOS) that creates tremendous efficiencies in your work product and workflow. VectorOS is a true game-changer.
  • Grow into additional document types over time, including master and consulting services agreements, leases, DPAs and BAAs, SaaS/PaaS and AI licensing, terms of service, privacy policies, and reliance and engagement letters
  • Assist in building and refining legal playbooks, templates, and best practices
  • Collaborate with product and engineering to translate legal workflows into platform features
  • Contribute to the development of scalable, repeatable legal processes
  • Learn from and work alongside senior legal team members and paralegals
  • Maintain high standards of legal quality while operating in a fast-paced, tech-enabled environment
Qualifications:
  • JD and active membership in the California or Colorado Bar (or eligibility to register as in-house counsel)
  • 1–3 years of experience at a law firm or in-house legal team
  • Foundational knowledge of commercial contracting law
  • Some experience with core commercial documents (for example: NDAs, services agreements, or SOWs) and a demonstrated desire to expand into technology agreements, data privacy, engagement and reliance letters, and other document types
  • Developing ability to manage client relationships with supervisionStrong drafting, research, and issue-spotting skills
  • Interest in legal technology and building scalable systems required

Eligible to receive equity.
