A respected AmLaw firm is seeking a Capital Markets / Securities Associate Attorney to join its Dallas office. This opportunity is ideal for an attorney looking to work on sophisticated securities and corporate transactional matters within a nationally recognized capital markets platform serving issuers, investment banks, and institutional investors.

The firm is seeking a motivated associate attorney with strong securities and corporate transactional experience who is interested in advising clients on complex public and private capital markets transactions and regulatory matters.

The Role

Associates in this position may work on matters involving:

  • Public and private securities offerings
  • Equity and debt capital markets transactions
  • Offerings involving common stock, warrants, and convertible securities
  • ATM programs and other financing structures
  • Reverse mergers, de-SPACs, and direct listings
  • SEC reporting and compliance matters
  • Securities Act and Exchange Act advisory work
  • Corporate governance and disclosure obligations

Attorneys will work closely with issuers, investment banks, institutional investors, and executive teams on sophisticated transactional and regulatory matters.

Ideal Background
  • 3+ years of corporate and securities law experience at a major law firm
  • Strong understanding of U.S. securities laws and capital markets transactions
  • Experience handling sophisticated public and private offerings
  • Strong drafting, negotiation, analytical, and communication skills
  • Ability to manage multiple matters simultaneously in a fast-paced environment
  • JD from an ABA-accredited law school with strong academic credentials required
  • Texas Bar admission required or ability to waive in
