A propos du poste

Manos Software recherche un(e) Associe(e) en Fusions & Acquisitions (M&A) capable d'identifier, d'evaluer et de conclure des acquisitions dans le secteur des logiciels specialises.

Vous serez directement responsable de la constitution d'un pipeline d'acquisitions, des echanges avec les fondateurs, de la structuration des transactions et de la conduite des operations jusqu'a leur finalisation. Vous travaillerez aux cotes des Investment Partners et de la direction senior, en pilotant le processus de la premiere prise de contact jusqu'a la signature des documents definitifs.

Vos responsabilites

Developper le pipeline d'acquisitions

  • Identifier de maniere proactive des entreprises de logiciels specialises
  • Effectuer des demarches de prospection aupres de fondateurs et proprietaires
  • Developper des relations a long terme avec les dirigeants et les conseillers vendeurs
  • Maintenir et gerer un pipeline structure d'opportunites qualifiees

Evaluer et analyser les opportunites

  • Evaluer les cibles d'acquisition selon les criteres d'investissement de Valsoft
  • Construire des modeles financiers pour analyser la valorisation et les profils de rendement
  • Analyser la qualite des revenus, la concentration client, le taux d'attrition (churn) et les moteurs de croissance
  • Identifier les risques operationnels et financiers

Executer les transactions

  • Diriger les appels exploratoires et les discussions avec la direction
  • Coordonner les diligences commerciales et financieres
  • Structurer et negocier les lettres d'intention (LOI) et les accords definitifs
  • Presenter des recommandations d'investissement aux decideurs seniors
  • Travailler etroitement avec les Investment Partners pour conclure les transactions

About the Role

Manos Software is looking for an M&A Associate who can source, evaluate, and close vertical market software acquisitions.

You will be directly responsible for building acquisition pipelines, speaking with founders, structuring deals, and driving transactions to completion. You will work alongside Investment Partners and senior leadership, owning the process from first outreach to signed closing documents.

What You'll Do

Build Acquisition Pipeline

  • Proactively source vertical software businesses
  • Conduct outbound outreach to founders and owners
  • Develop long-term relationships with business owners and sell-side advisors
    Maintain and manage a structured pipeline of qualified opportunities

Evaluate and Underwrite

  • Assess acquisition targets against Valsoft's investment criteria
  • Build financial models to evaluate valuation and return profiles
  • Analyze revenue quality, customer concentration, churn, and growth drivers
  • Identify operational and financial risks

Execute Transactions

  • Lead exploratory calls and management discussions
  • Coordinate commercial and financial due diligence
  • Structure and negotiate LOIs and definitive agreements
  • Present investment recommendations to senior decision-makers
  • Work closely with Investment Partners to close transactions

What You Bring

  • 1-3+ years of experience in Investment Banking, Private Equity, Corporate Development, Transaction Services, or M&A
  • Strong financial modeling and valuation skills
  • Comfort speaking directly with founders and executives
  • Ability to manage multiple live deal processes simultaneously
  • High ownership mindset and bias toward execution
  • Intellectual curiosity across industries and business models
  • Willingness to travel for deals and industry events
  • Legal authorization to work in Canada

Nice to Have

  • Experience in vertical market software or B2B SaaS
  • Familiarity with buy-and-build acquisition strategies
