Description
Are you detail-oriented, highly organized, and passionate about corporate law? If so, Muth Electric, Inc. is hiring a Corporate Paralegal. This specialized position plays a critical role in assisting our legal team with their duties, ensuring the smooth operation of various business transactions and corporate compliance matters. This position is located in Muth's Sioux Falls, SD office.
Responsibilities & Duties
  • Work closely with the in-house legal department to support and manage legal affairs for Muth Electric, Inc., its partners, and related holdings, ensuring compliance and risk mitigation.
  • Assist in the preparation and filing of corporate documents such as articles of incorporation, bylaws, and minutes of meetings
  • Maintain and update corporate records, including shareholder and director information
  • Conduct legal research to support corporate actions and decisions
  • Draft and review contracts, agreements, and other legal documents
  • Manage contract lifecycle process and support the continuous improvement of contract processes
  • Assist in the collection of unpaid amounts owed to the company, including filing mechanic's liens, drafting collection letters, and submitting bond claims
  • Coordinate due diligence activities for mergers, acquisitions, and other corporate transactions
  • Prepare and file annual reports and other regulatory filings
  • Assist in the organization of board meetings and the preparation of meeting materials
  • Monitor and ensure compliance with federal and state corporate laws and regulations
  • Liaise with external legal counsel and regulatory bodies
  • Maintain confidentiality and protect sensitive information

Position Requirements
Qualifications & Skills
  • Bachelor's degree in Paralegal Studies, Legal Studies, or a related field; or an Associate's degree or paralegal certificate from an accredited institution
  • Certification from a recognized paralegal program
  • Experience working in a corporate legal department or law firm
  • Familiarity with corporate governance practices
  • Proficiency in legal research databases
  • Excellent written and verbal communication skills
  • Ability to work independently and manage multiple tasks simultaneously
  • Attention to detail and strong organizational skills
  • Experience with contract drafting, redlining, and negotiation
  • Minimum of 2-3 years of experience as a paralegal, preferably in a corporate setting
  • Knowledge of corporate laws and regulations
  • Proficient in legal research and writing
  • Strong computer skills, including proficiency in Microsoft Office Suite
  • Demonstrated ability to maintain confidentiality and handle sensitive information
  • Excellent organizational skills and attention to detail
