Job description

The General Counsel's Organization (GCO) of American Express is where great legal minds influence global business strategy. This role is a key member of the Corporate Secretary's Office, supporting subsidiary governance, legal entity management, and regulatory reporting across American Express. The position will help coordinate the day-to-day operations of the subsidiary management function, support key governance and regulatory initiatives, and partner with stakeholders across the organization to ensure timely and accurate execution of critical deliverables. The role requires strong leadership, project management, attention to detail, and sound judgment, with a focus on strengthening governance processes, regulatory compliance, and operational efficiency.

The below represents the expected salary range for this job requisition. Ultimately, in determining your pay, we'll consider your location, experience, and other job-related factors.

Minimum Qualifications:

  • Bachelor's degree or equivalent
  • Previous experience at a law firm and/or a large corporation in subsidiary management and corporate governance
  • Detail oriented, highly organized, and strong ability to work independently without constant supervision
  • Strong administrative and project management skills, including experience managing complex initiatives with multiple stakeholders and competing priorities
  • Strong leadership skills
  • Strong typing, editing, and proofing skills
  • Solid interpersonal skills and ability to interact on a global basis and with all levels of management
  • Reliable thought leadership and good judgment

Preferred Qualifications:

  • Knowledge of the Federal Reserve FR Y-10 and FR Y-6 regulations
  • Strong proficiency with Diligent (Blueprint) database (or equivalent), Boardvantage (or other secure Board portals), MS Office, including Word, Excel, PowerPoint, and Outlook, PDF, Visio, and DocuSign
  • Experience leveraging technology, automation, AI tools to improve operational efficiency and strengthen governance processes
  • Knowledge of project management
  • Notary public or the ability to become a notary
  • Familiarity with internal audit processes, regulatory examinations, and remediation activities
  • Experience supporting regulatory remediation projects or governance enhancement initiatives

How will you make an impact in this role?

  • Support the Corporate Secretary's Office with respect to subsidiary governance and regulatory reporting matters
  • Support audit requests, regulatory examinations, and internal reviews by coordinating documentation, responses and remediation activities
  • Monitor regulatory and governance obligations to ensure timely completion of deliverables
  • Support the Director and Counsel role in coordinating day-to-day operations of the subsidiary management team, including helping to prioritize work, managing key initiatives, ensuring timely execution of team deliverables and escalating issues
  • Management and support of specific subsidiaries or groups of subsidiaries within our organization (e.g., in connection with Board meeting logistics, agendas, presentation materials, minutes)
  • Manage the administrative team that conducts the day-to-day processes of maintaining the Amex subsidiary database, including data entry and access management
  • Manage the gathering and validation of source documentation supporting all attributes of legal entities in the Amex subsidiary database
  • Prepare and file regulatory reports, including FR Y-10 and FR Y-6
  • Manage and assist, as needed, the preparation and management of:
  • various surveys, including those related to subsidiary tracking and validation
  • periodic subsidiary status reports
  • corporate governance questionnaires and attestations for all legal entities within the Amex organization
  • regulatory certifications for subsidiary management officials on a global basis (Regulation L)
  • Draft/refresh internal governance policies and procedures, including those related to the FR Y-10 and FR Y-6 reporting structure and subsidiary governance
  • Assist in the ongoing maintenance and oversight of legal entity governance across the enterprise
