Position Overview

The Contract Manager will be a key member of the Contract Management team, reporting to the General Counsel, specifically responsible for all contract management activities involving EPC and Equipment & Installation projects. The Contract Manager role is a hands-on, roll up your sleeves position that will regularly work with various function groups across the organization. The position will be located in Westborough, MA.

Key Responsibilities

  • Create the Company standard documentations including Equipment Supply Agreement, Long Term Service Agreement and its supporting documents which are either with customer or with our major subcontractor.
  • Create the Company standard documentations and templates including a legal, business letters toward either customer or our subcontractor.
  • Review Project Documents and agreements to ensure flow down of terms with key subcontractors are implemented as appropriate
  • Review the Final Contract against agreed and approved position to define the associated risk
  • Coordinate and ensure the finalization of contracts with customers and/or subcontractors in consultation with the relevant function groups
  • Identify, review, and mitigate financial, tax, bonding, insurance & customs contractual issues in consultation with the relevant subject matter experts; obtain and track bond and insurance requirements with brokers, sureties, etc.
  • Ensure and guarantee the management of contracts through handover from the Sales and Commercial Management teams to the Project Execution and Service teams to confirm their understanding of key contractual terms, and support both teams through the life of the contract
  • Prepare and manage contractual correspondences in consultation with the Legal Counsel, including identifying, submitting, and negotiating change orders and warranty claims with both customer and subcontractors in a timely and effective manner
  • Administer and ensure execution of the contractual rights and obligations, escalating issues to the General Counsel when appropriate
  • Ensure that contractual obligations are performed, properly documented, and closely followed up
  • Assist Service team with claims and warranty management and equipment returns for repayment or repair
  • Assist Project Execution and Service teams in sourcing suppliers and subcontractors
  • Work with Legal Counsel to ensure review and compliance with local law in the proposal phase, and ensure compliant execution to those standards in the project execution phases

Key Knowledge, Skills, Abilities, and Attitudes

The position requires:

  • Experience in Contract Management for design, construction, and operations within the energy and construction industry
  • Strong analytical and problem-solving skills combined with resourcefulness and attention to detail.
  • Proven ability to “roll up” her/his sleeves and get involved at a detailed level.
  • Strong communication skills: ability to communicate in a clear and concise manner with subcontractors, internal function groups and customers.
  • Excellent organizational skills.
  • Excellent interpersonal skills and a capacity to build strong working relationships across the organization
  • Ability to work in a dynamic, fast paced environment and to adapt quickly to changing priorities.
  • Strong initiative and ability to handle a high volume of complex matters at one time.
  • Project mgmt. skills.
  • Strong ability to assess both legal and commercial aspects of projects in renewable energy, construction, and related industries (including EPC, equipment supply, and subcontracting arrangements)
  • Global business mindset and open attitudes for diverse cultures are preferred.

Qualifications

  • Experience working for a solar, wind, and or energy storage company, or in the construction industry would be an asset.
  • Substantial experience in managing complex contracts in a related industry.
  • Minimum 5 years’ experience in a contract management or related role on complex energy or construction projects.
  • Bachelor’s degree; Major in engineering a plus.
