Job description

Job Summary
Sorenson is seeking a high-integrity, business-minded commercial attorney with technology transactions experience to support its sales and commercial contracting efforts. This position will report into the Head of Commercial Legal and will work closely with key internal business stakeholders to provide high-quality legal advice to support Sorenson's current and expanding products and services. The ideal candidate will have a proven track record of independently managing multiple priorities, efficiently negotiating and closing commercial agreements, collaborating closely with legal and compliance colleagues, and skillfully advising internal business colleagues.

Responsibilities:
  • Draft, negotiate, structure and review a broad range of customer-facing technology and commercial transactions, including SaaS subscription agreements, strategic partnerships, inbound and outbound license agreements, NDAs, consulting agreements, service agreements, OEM and reseller agreements, data use agreements, MSAs, SOWs, etc.
  • Draft, review and negotiate a range of vendor agreements in support of business initiatives, such as service agreements, development agreements, purchase agreements, subscription agreements, consulting agreements, etc.
  • Drive significant transaction volume from inception to completion in a fast-paced environment.
  • Draft, develop and update agreement templates and form agreements.
  • Identify, anticipate, provide timely evaluation of, and effectively communicate legal and business risks and issues with internal stakeholders.
  • Analyze and advise on complex issues related to technology development, content and data licensing, software integrations, and partnerships covering multiple services and product offerings.
  • Draft clear, concise and actionable risk assessments and legal review that are appropriately tailored to executive leadership, business stakeholders and legal audiences to enable informed decision-making.
  • Assist with mergers and acquisitions and other corporate transactions.
  • Participate in special projects and additional duties, as required.

About You/ Required Experience:
  • JD from a top tier law school.
  • Licensed and in good standing to practice law in at least one U.S. state.
  • 5+ years of experience at a top tier or Am Law 100 law firm or in-house in a sophisticated commercial environment. The ideal candidate will have a combination of both law firm and in-house experience with a minimum of 3+ years spent at a top tier or Am Law 100 law firm.
  • Substantial experience in counseling companies on technology services arrangements and core contractual terms, and the ability to assess impact of those terms to the company's business arrangements.
  • Ability to clearly and concisely draft and negotiate complex commercial agreements, with minimal supervision.
  • Solid ability to balance risks and opportunities, analyze and resolve challenging legal issues including thinking creatively to enable the business to accomplish its goals, and communicate sound, clear, practical and concise advice in a fast-paced business setting.
  • Proactive with deadlines with ability to prioritize conflicting demands.
  • Team player with outstanding professionalism, poise, judgment and ability to reliably multi-task and manage numerous projects simultaneously in a fast-paced environment, with a positive attitude.
  • Experience with product counseling, intellectual property and/or navigating privacy and regulatory issues is particularly desirable.
