Job description

Job Title: Paralegal Contracts Manager
Job Summary:
The Paralegal/Contract Manager will draft, review, and negotiate contracts in accordance with departmental guidelines, coordinate the contracts process through execution, manage the company’s contracts database, and prepare contract templates and other corporate documents as needed. The Paralegal/Contract Manager must be familiar with basic legal terminology, principles and documentation and be comfortable working in a fast-paced environment with frequent tight deadlines under minimal day-to-day supervision. The Paralegal/Contract Manager must work collaboratively and communicate effectively with other legal team members, business development and operations teams, sales team, finance and other corporate functions.
Essential Functions:
  • Negotiate, draft, and review routine contracts such as company contracts, service contracts, supplier agreements, Business Associate Agreements (BAAs), and non-disclosure agreements (NDAs) in accordance with departmental guidelines
  • Draft amendments and revisions for company contracts
  • Participate in the development of contract templates and contractual processes
  • Identify and summarize financial and legal terms in complex contracts and input the contracts into a contracts database
  • Coordinate the drafting, negotiation, approval and execution of contracts
  • Organize and track contractual requirements and assure compliance
  • Manage the company’s contracts database and locate documents upon request
  • Monitor and manage assigned contracts in the Salesforce legal queue system, including managing RevSpring’s specific Salesforce procedures for contract organization.
  • Create, maintain, and manage tracking, scheduling and assignment of requests for legal services and obligations for legal team
  • Liaise with other company departments

Minimum Requirements:
Specific Job Skills:
  • Familiarity with basic legal terminology and contract forms and documentation
  • Excellent computer skills; proficiency in Microsoft Word, Adobe, and Excel. Familiarity with contract management systems such as Apttus CLM (Salesforce)
  • Experience using Salesforce
  • Ability to work both independently and as part of a cross-functional team, in a fast-paced environment
  • Excellent written and verbal communication skills and critical thinking - position requires interaction with, and providing excellent customer service to, all departments within the company as well as suppliers and customers
  • Excellent organization and time-management skills, accuracy and meticulous attention to detail
  • Ability to analyze and resolve issues and participate in building consensus
  • Proactively seeks solutions and improvement to process
  • Self-directed, motivated, and reliable
  • Demonstrated ability to handle multiple tasks and work under tight deadlines (willingness to work extra hours and having wide availability is critical)
  • Up to 10% travel may be required
