Position Title: Corporate Counsel and Risk Manager

Job Summary
DLB is seeking an experienced Corporate Counsel and Risk Manager to lead enterprise risk management, contract and insurance risk oversight, and compliance governance across the organization. This role is responsible for developing and maintaining the firm's Enterprise Risk Management (ERM) framework, ensuring risks are identified, assessed, mitigated, and monitored in alignment with business objectives.
The successful candidate will provide strategic guidance on operational, contractual, regulatory, financial, and safety-related risks while partnering closely with executive leadership to support informed decision-making and sustainable growth. Working in conjunction with the Chief Legal Officer, this position also oversees risk-related contract review, insurance program administration, and enterprise compliance initiatives.
As a key member of the Operations Team, this role collaborates closely with Safety, Human Resources, Accounting, IT, Contract Administration, and Executive Leadership. The position reports directly to the Chief Legal Officer and requires strong business judgment, executive presence, and the ability to influence stakeholders in a fully remote environment.
This is a highly independent role responsible for leading complex projects, coordinating cross-functional initiatives, and contributing to the development of organizational policies and procedures.
Essential Functions
Enterprise Risk Management
  • Lead the development, implementation, and continuous improvement of the firm's Enterprise Risk Management (ERM) framework.
  • Conduct enterprise-wide risk assessments across operational, financial, contractual, regulatory, and safety-related functions.
  • Identify emerging risks associated with growth initiatives, geographic expansion, regulatory changes, and service diversification.
  • Analyze internal and external data, industry trends, and regulatory developments to evaluate organizational exposure.
  • Develop and monitor mitigation strategies and risk controls.
  • Establish risk tolerance thresholds, review standards, and escalation protocols.
  • Provide executive leadership with forward-looking risk analysis and recommendations.

Operational Risk and Safety Integration
  • Partner with Safety leadership to incorporate safety performance indicators into enterprise risk assessments.
  • Analyze incident, claims, near-miss, and compliance data to identify trends and improvement opportunities.
  • Evaluate operational controls and recommend enhancements to strengthen organizational performance and resilience.
  • Support operational risk reviews, including virtual and onsite assessments as needed.
  • Ensure alignment between safety performance, project delivery objectives, and enterprise risk priorities.

Governance, Compliance, and Business Continuity
  • Develop and maintain corporate risk management and compliance policies.
  • Monitor adherence to regulatory requirements and internal governance standards.
  • Evaluate internal controls and identify compliance gaps or systemic weaknesses.
  • Participate in the Business Continuity and Disaster Recovery Program and ensure continuity planning aligns with enterprise risk objectives.
  • Prepare risk reports and presentations for Executive Leadership and Board-level review.
  • Escalate material compliance issues and significant organizational risks as appropriate.

Contract and Insurance Risk Oversight
  • Review and assess contractual risk associated with client, vendor, consultant, technology, benefits, insurance, construction, design, product and manufacturing agreements.
  • Partner with the Contracts Team to evaluate high-risk contractual provisions and insurance requirements.
  • Lead administration of corporate insurance programs, including policy renewals, endorsements, coverage modifications, and claims management.
  • Coordinate with brokers, carriers, operations, and project teams to ensure appropriate risk transfer and insurance compliance.
  • Oversee certificates of insurance, subcontractor compliance, and client insurance requirements.
  • Monitor claims activity and emerging exposure trends and recommend appropriate corrective actions.
  • Support administration of company vehicle, travel, and driving-related risk programs.

Risk Reporting and Culture
  • Prepare executive-level dashboards, reports, and risk assessments.
  • Support organizational risk awareness and compliance training initiatives.
  • Conduct risk surveys and communicate findings to leadership.
  • Foster a proactive culture of accountability, compliance, safety, and risk awareness across the organization.

Education and Experience
  • Juris Doctor (JD) from an accredited law school.
  • Admission to practice law in at least one U.S. jurisdiction.
  • Undergraduate degree in business, finance, accounting, economics, construction, engineering or a related field preferred.
  • Minimum of eight (8) years of experience in contract law, insurance law, risk management, or a closely related field at a law firm, in-house or with an insurance carrier.
  • Prior experience in construction, engineering or design industries.
