Remote M&A Partner – Mergers & Acquisitions
Firm Overview

A prominent law firm is seeking an experienced M&A Attorney with 8+ years to join its highly active Corporate Practice Group.

The firm advises privately held middle-market and lower-middle-market companies in complex transactions throughout the United States and internationally. Its clients include private equity sponsors, founder-owned and family-owned businesses, strategic acquirers, portfolio companies, family offices, and private investors.


Job Summary

The firm is seeking an accomplished M&A Partner, Counsel, or senior transactional attorney with substantial experience leading private-company mergers and acquisitions.

The ideal candidate will be able to independently manage sophisticated transactions from initial structuring through closing, negotiate principal deal documents, supervise transaction teams, and work directly with clients and their other professional advisors.

This is a remote opportunity offering sophisticated transactional work, substantial client responsibility, and a more attractive billing expectation than many larger firms.
Responsibilities and Duties
  1. Leading sophisticated private-company mergers and acquisitions
  2. Representing buyers, sellers, private equity sponsors, portfolio companies, founders, and strategic acquirers
  3. Handling private equity, strategic M&A, leveraged buyout, management buyout, and other corporate transactions
  4. Drafting and negotiating purchase agreements, merger agreements, disclosure schedules, and ancillary transaction documents
  5. Managing transactions from initial structuring and due diligence through signing and closing
  6. Advising clients regarding transaction structure, negotiation strategy, and risk allocation
  7. Supervising associates and coordinating transaction teams
  8. Maintaining direct communication with clients, opposing counsel, investment bankers, accountants, and other transaction advisors
  9. Working collaboratively with attorneys across complementary practice areas to efficiently address issues arising during transactions
  10. Participating in the continued development and growth of the firm's Corporate and M&A practice
