PENTAX Medical is seeking a Legal Counsel to join our legal team and support business operations across the Americas region (U.S., Canada, and Latin America). This role will serve as a trusted legal advisor to commercial, operational, and functional stakeholders within the Americas region, providing practical, business-oriented legal support in a highly regulated environment.

The Legal Counsel will report to the Global Chief Legal Officer, and will collaborate closely with global legal colleagues, including teams in Japan and EMEA. This position is fully remote, with limited travel required

Responsibilities of Legal Counsel

  • Draft, review, negotiate and advise on a broad range of commercial agreements, including sales, distribution, procurement, service and vendor contracts.
  • Provide day-to-day legal support to sales and commercial teams, balancing risk management with business objectives.
  • Advise on U.S. and non-U.S. employment law matters across the Americas, including employee relations, performance management, terminations, and workplace investigations.
  • Partner with HR on policy development, compliance, and employment-related risk mitigation.
  • Support cross-border employment issues in coordination with local counsel where appropriate.
  • Advise on data privacy and data protection issues, including HIPAA, and U.S. state privacy laws.
  • Support ethics, compliance, and internal investigations as needed.
  • Assist with product liability, quality, recall-related legal matters, and risk assessments.
  • Manage and coordinate outside counsel in connection with litigation, disputes, and regulatory matters, including budget oversight.
  • Support corporate initiatives, integrations, or special projects as assigned.
  • Other duties as assigned
Requirements of Legal Counsel
  • Juris Doctor (JD) from an accredited law school.
  • Licensed to practice in at least one U.S. jurisdiction and in good standing with the Bar Association.
  • 3-5 years of relevant legal experience, with exposure to commercial contracts and employment law.
  • Strong drafting, negotiation, and analytical skills.
  • Ability to work independently in a remote environment and manage competing priorities.
  • Excellent communication skills and sound business judgement
Preferred experience of Legal Counsel
  • Experience in medical devices, life sciences, or highly regulated industries.
  • Combination of law firm and in-house experience
  • In-house experience supporting commercial teams.
  • Managing outside counsel and legal budgets
  • Working in a global, matrixed organization
  • Familiarity with FDA-regulated products and regulated manufacturing environments
