Job description

Kilpatrick, a large international law firm, is seeking a Paralegal for our Corporate Department’s Real Estate Finance Team in our Atlanta, Chicago or Dallas office. This position will be part of our team of attorneys, paralegals and support staff providing a high level of service to both internal and external clients. Kilpatrick’s Real Estate Finance team is seeking a Paralegal to provide semi-autonomous, complex support to attorneys on an industry leading team representing lenders, loan servicers and investors in all aspects of commercial real estate transactions. Paralegal will be an integral part of the team and assist attorneys in all aspects of commercial real estate finance transactions, as well as client development and practice management. The Paralegal will provide workflow coordination duties and will work under the direction of attorneys and perform miscellaneous duties as assigned.

ESSENTIAL JOB FUNCTIONS:

  • Draft loan documents and ancillary documents, including: ancillary deal documents for assumptions, transfers, lien releases, certificates, resolutions, schedules, legal opinions, closing checklists
  • Review closing documents, including: deeds, memoranda of leases, easements, promissory notes, deeds of trust, security agreements, UCC financing statements, subordination and intercreditor agreements, assignments, loan agreements, estoppels certificates, SNDA's, resolutions, incumbency certificates, certificates of trust and opinion letter drafts
  • Familiarity with pooling/servicing agreements, grantor trust agreements and securitized loan documents a plus
  • Coordinate and manage data rooms, due diligence materials, signature packets, executed documents, and closing sets
  • Draft closing instruction letters and coordinate closings related to loans secured by real estate and other collateral
  • Review settlement statements for real estate transactions
  • Assist with filing and recording of closing documents and prepare closing binders
  • Review title insurance commitments, restrictive covenants, easements, title policies, title endorsements and surveys; prepare detailed title and survey summaries and comments to proforma lenders policies of title insurance
  • Order and review due diligence documents and entity formation and registration documentation
  • Prepare critical date lists and manage transaction calendars
  • Review and prepare various corporate documents, including LLC and LP agreements, bylaws, stock certificates and transfers, subscription agreements, resolutions, secretary's certificates, S election applications and tax identification number applications and articles of formation and dissolution
  • Provide quality control and deadline management
  • Provide back-up support to team, department and floor for coverage and project assistance as needed 

KNOWLEDGE/SKILLS REQUIRED:

  • Bachelor’s degree and/or paralegal certificate preferred but not required
  • Minimum of 5 years' experience 
  • Extensive knowledge of computer systems and programs including Microsoft Office Suite
  • Extensive knowledge of legal terminology, processes and definitions
  • Excellent verbal, written and interpersonal communication skills
  • Service orientation and teamwork skills
  • Excellent organizational, time management skills; ability to prioritize and meet deadlines
  • Attention to detail; excellent editing and proofreading skills

This is a full-time, regular position with a multi-faceted health benefit package including medical, dental, and vision. The firm also offers life insurance, short-term disability plans and retirement plans in addition to holidays and paid time off.  The firm offers hybrid work schedules combining in office work days as well as remote workdays.  The pay range for this position in Atlanta and Chicago only is $44.67 to $67.03 per hour. The range for this position in New York and San Francisco only is $53.69 to $80.56.
