Job description

Direct Counsel is representing a prestigious AmLaw firm seeking a Knowledge Management Associate to support its nationally recognized Capital Markets practice. This is a unique opportunity for a capital markets attorney interested in legal innovation, AI-powered knowledge systems, attorney development, and sophisticated transactional practice support.

This role sits at the intersection of substantive capital markets expertise and applied legal technology, partnering closely with attorneys, innovation teams, and practice leadership to help shape the future of AI-enabled legal practice.

ResponsibilitiesTraining & Development
  • Help oversee and evolve the Capital Markets training curriculum
  • Develop new training programs and educational materials for attorneys
  • Collaborate on firm-wide associate training initiatives and professional development programs
Substantive Communications
  • Monitor and communicate key legal and market developments involving:
    • SEC guidance and regulations
    • Delaware corporate law
    • Corporate governance trends
    • Capital markets activity
  • Prepare attorney updates, publications, client alerts, pitch materials, CLE content, and business development resources
Knowledge Resources
  • Create and maintain:
    • Standard forms
    • Client-ready templates
    • Practice guides
    • Internal knowledge systems
  • Organize and improve access to capital markets knowledge resources and databases
Innovation & AI Integration
  • Partner with attorneys and innovation teams to develop:
    • AI-powered legal workflows
    • Prompt architectures
    • Structured legal knowledge systems
    • AI-assisted transactional resources
  • Translate substantive legal knowledge into scalable AI-ready formats
  • Assist with implementation and adoption of emerging AI tools across the practice
Qualifications
  • Active bar license required
  • Minimum 5 years of experience in:
    • Securities law
    • Capital markets transactions
    • Corporate governance
  • Strong familiarity with:
    • The Securities Act of 1933
    • The Securities Exchange Act of 1934
    • IPOs and follow-on offerings
    • Debt offerings
    • Public company reporting and governance
  • Excellent drafting, communication, project management, and organizational skills
  • Strong interest in AI, legal technology, and innovation within legal practice
  • Prior knowledge management experience is a plus, but not required
Compensation

Expected compensation range: $310,000 – $500,000, depending on experience, qualifications, and market factors.
