As a Corporate Counsel, you will play a crucial role in guiding our district or division through the complexities of legal matters. You will provide expert legal advice on transactional and operational issues while collaborating closely with leadership to identify and mitigate potential legal risks.

What you will be doing
  • Reviews project contract documents to identify and analyze legal risk related to the project or company. Reports legal risk and mitigation strategies to project and divisional management.
  • Conducts contract reviews for pre-bid and bid phases of the divisions pursuits.
  • Drafts and negotiates agreements, including design-build and construction contracts, joint-venture (JV) agreements, concession agreements (P3 transactions), sub-contract agreements with designers and civil contractors, interface agreements, lenders' direct agreements, and parent company guarantees.
  • Works closely with JV partners and external counsel to negotiate deals, completes closing paperwork and closing books.
  • Advises project stakeholders of potential disputes and recommends mitigation strategies.
  • Prepares and implements user manuals and training sessions for project contracts.
  • Reviews and supports submission requirements for all divisional Request for Proposals (RFP).
What we are looking for
  • Juris Doctor required.
  • 5+ years' experience of post-bar professional legal experience required.
  • Licensed lawyer for Hawaii, or willing to take the test required.
  • Experience in construction industry preferred.
  • In-house corporate legal experience preferred.
  • Knowledge of construction JV and alternative delivery project contracts preferred.
  • Exceptional written and verbal communication and drafting skills.
  • High-integrity and able to maintain strict confidence with sensitive material and matters.
