Position Overview
This position is located in Hopkins, MN (Hybrid)
This is an exciting opportunity for a highly organized and self-sufficient paralegal professional with a passion for legal operations and process improvement. As part of a lean three-person legal team, this role is critical to keeping the department running smoothly. Reporting to the General Counsel and working closely with the Associate General Counsel, the ideal candidate will bring a strong foundation in corporate law and contract administration and be familiar with or willing to learn export compliance. They will be comfortable with a broad and varied workload and a self starter who wants to improve department operations.
What You Will Do
Export Compliance
  • Develop working knowledge of export compliance regulations and the company's classification processes, including ECCN, HTS, Schedule B, and CCATS codes, denied-party screening, and BIS reporting requirements.
  • Research and assign export classifications for new product SKUs in NetSuite.
  • Submit required reports and classification requests to BIS.
  • Monitor regulatory developments affecting export classifications and tariffs.
  • Act as escalation point for restricted country and denied-party screening.

Corporate Governance & Entity Management
  • Support corporate governance activities including Board of Directors meetings, committee meetings, annual shareholder meetings, and SEC reporting obligations (10-K, 10-Q, proxy statements).
  • Manage entity maintenance activities including formations, dissolutions, name changes, and mergers with CT Corporation and internal teams.
  • Maintain entity compliance calendars, business licenses, renewal requirements, and the entity management database.

Compliance Training Administration
  • Administer the LRN Catalyst compliance training platform, including new hire account setup and onboarding.
  • Screen new employees through RPS software.
  • Assign and track annual compliance training for all employees.
  • Manage FCPA training assignments for distributors and resellers and maintain the Distributor-Reseller FCPA Training Log.

Legal Operations, NDA Process & Intellectual Property
  • Own and automate the end-to-end NDA process, including intake, attorney routing, e-signature execution, and storage of fully executed agreements.
  • Maintain a central repository of all executed contracts and agreements, ensuring records are current and accessible.
  • Manage legal operations including document routing and maintenance of all legal files, trackers, and document repositories.
  • Identify and leverage AI tools to improve legal operations workflows, including document management, contract review, and compliance tracking.
  • Administer intellectual property records for patents and trademarks.

Mergers, Acquisitions & Corporate Transactions
  • Support mergers, acquisitions, financing transactions, and other strategic corporate matters.
  • Assist with due diligence, transaction closings, closing binders, post-closing obligations, and integration of acquisition documents and corporate records.
  • Coordinate with outside counsel, internal stakeholders, and third-party service providers throughout transaction lifecycles.
  • Maintain M&A deal files, transaction documentation, and post-acquisition corporate records.

General Administrative Support
  • Provide administrative support to the department lawyers as requested, including scheduling, travel arrangements, CLE registration, and expense reporting in Concur.
  • Review, process, and approve legal-related invoices in NetSuite and maintain a monthly legal cost tracker for Finance.
  • Monitor bankruptcy notices and submit claims as appropriate.
  • Notarize documents where required.
  • Provide guidance and support across the company on legal and export compliance matters.

Who You Are and What You Bring
  • At least 3 to 5 years of paralegal or legal operations experience.
  • Paralegal certificate or bachelor's degree in a related field, or equivalent experience.
  • Experience with corporate governance, entity management, and contract administration.
  • Experience with e-signature platforms (DocuSign or similar) and document management systems.
  • Comfortable interacting professionally with executives, board members, and outside counsel.
  • Thrives in a small team environment where you are expected to own your work with support as needed/appropriate from other team members.
  • Demonstrated interest in process improvement, workflow automation, and leveraging AI tools to improve efficiency.
  • Notary commission in place or willingness to obtain.

Desired But Not Required
  • Proficiency with NetSuite, SharePoint, or similar business systems preferred.
  • Familiarity with U.S. export compliance regulations (ECCN, HTS, EAR) is a plus.

The anticipated base pay range for this position is $81,500 - $127,500. Pay ranges are determined by role, job level and primary job location. The range displayed reflects the reasonable range we anticipate paying for this position and reflects the cost of labor within several U.S. geographic markets. The specific salary offered within the range will depend on various factors including, but not limited to the candidate's relevant and prior experience, education, skills, and primary work location. It is not typical for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on the facts and circumstances of each position. Pay ranges are typically reviewed and updated annually.
