Role Overview: 

Paralel is seeking a Legal Associate - Investment to join our Legal team. Reporting to the General Counsel, the Legal Associate provides legal and compliance support to Paralel and its fund clients, including regulatory filings, board governance, compliance matters, and contract review. This role helps ensure regulatory requirements are met while supporting strong client service and the effective operation of Paralel’s legal and compliance functions. This position follows a hybrid work schedule based out of our Denver, CO office. 


Job Responsibilities:

  • Provide ongoing legal and compliance support to internal teams, clients, and other business partners.
  • Serve as a primary legal contact for selected fund clients, managing day-to-day regulatory filings, compliance matters, and other legal needs.
  • Independently draft, review, and finalize SEC filings under applicable federal securities laws, including Forms N-1A, N-2, N-CSR, N-PX, and DEF 14A.
  • Support and lead fund board meetings by preparing and distributing legal materials, coordinating with relevant parties, attending and presenting as appropriate, and drafting and reviewing minutes.
  • Lead new fund launches and registration processes for mutual funds, ETFs, interval funds, and closed-end funds. 
  • Review and negotiate selling, distribution, authorized participant, corporate, vendor, and service-provider agreements as assigned. 
  • Review and support administration of broker-dealer and intermediary agreements to help ensure appropriate legal, client, and business alignment. 
  • Assist as necessary Paralel’s registered investment adviser compliance program, including maintaining regulatory calendars, policies, and procedures. 
  • Monitor regulatory developments from the SEC, FINRA, CFTC, and other agencies; conduct legal research; and advise clients and internal teams on relevant requirements.


Skills and Qualifications:  

  • Juris Doctor degree from an accredited law school required; active bar membership in at least one U.S. jurisdiction with Colorado preferred.  
  • At least one or two years of relevant experience involving registered funds, the Investment Company Act, the Investment Advisers Act, securities law, corporate governance, 1940 Act compliance, and/or similar regulatory filings.  
  • Familiarity with broker-dealer and FINRA requirements preferred.  
  • Strong knowledge of investment industry terminology or the ability to learn it quickly.  
  • Excellent written and verbal communication skills, including the ability to work effectively with clients and diverse internal and external audiences.  
  • Strong attention to detail, organization, and ability to manage multiple priorities.  
  • Proficiency in Microsoft Office, comfort learning new technology, and the ability to collaborate while independently managing projects with minimal supervision. 


Compensation Range:  

$110,000 - $150,000  

Final compensation for this role will be determined by various factors, such as knowledge, skills, and abilities.
