JOB DESCRIPTION:

Being a member of the General Counsel's Office, located in the CLIENT Jersey City or Tampa office, this role will have responsibility for providing legal advice and guidance to our clearing agency businesses and providing legal support to CLIENT on contracts and transactional matters.

RESPONSIBILITIES:

Operate as U.S. counsel to senior management in CLIENT’s clearing agency businesses.

Provide accurate, timely legal and regulatory advice in the development and structuring of new business initiatives, including new products and service offerings.

Support the continuous improvement of standard form agreements, contract processes and policies and procedures.

Support audit and examinations relating to CLIENT’s clearing agency businesses and related communications with the Securities Exchange Commission (SEC).

Collaborate with members of the CLIENT legal department and external counsel, Compliance, Sales, Product, Finance and other functional areas as needed to support all of the above.

Handle other corporate legal matters as requested.

Mitigates risk by following established procedures, spotting errors and demonstrating ethical behavior.

QUALIFICATIONS:

7+ years of related experience

J.D. from law school; admission to New York or New Jersey Bar

Minimum of 4 years training with a premier law firm, financial services firm and/or financial services regulator

Must have:

Minimum of 7+ years of legal experience including 4+ years at a premier law firm, financial services firm and/or financial services regulator

Admission to the New York or New Jersey Bar

Demonstrated experience advising financial services businesses, particularly related to clearing agencies, post-trade processing, or market infrastructure

Strong knowledge of SEC regulations and experience supporting regulatory audits or examinations

Proficiency in drafting, reviewing, and negotiating commercial contracts, policies, and internal legal documents

Ability to collaborate effectively with cross-functional teams (Legal, Compliance, Product, Sales, etc.)

Comfort operating in a fast-paced, highly regulated environment with minimal supervision

Willingness to work on-site 3 days per week (Tuesdays, Wednesdays, plus one additional team-assigned day)
