Essential Duties and Responsibilities:
- Provide in-house legal advice and services
- Negotiate and draft a variety of commercial agreements, including non-disclosure agreements, letters of intent, terms and conditions, supply agreements, service agreements, leases, etc.
- Support the business development team in drafting responses to government calls for tenders.
- Prepare negotiation guidelines and standard contracts
- Provide legal support to other business partners, such as the finance team, procurement team, business development team and human resources team.
- Support the Human Resources team in the international mobility of employees, including visa and work permit applications.
- Liaise with external lawyers, including those in foreign countries.
- Support the Vice-President Legal Affairs and Chief Compliance Officer in acquisitions, financings, corporate reorganizations and the implementation of policies and processes.
- Support the Vice President Legal Affairs and Chief Compliance Officer in implementing the necessary measures to ensure compliance with various laws, including the French Charter of the French Language and the Quebec Privacy Act and the European Data Protection Act (GDPR).
- Develop, implement, and maintain legal and compliance processes, templates, trackers, and internal policies.
- Organize and maintain documentation and electronic files.
Education and/or Work Experience Requirements:
- Law degree (LLB). A common law degree is an asset.
- 7 years' experience, including as in-house counsel in a large company with international activities.
- Solid knowledge of commercial law, contract negotiation and drafting.
- Experience with government contracts is an asset.
- Able to work under pressure, realign priorities and meet tight deadlines.
- Excellent problem-solving, business, analytical and organizational skills.
- Self-motivated and resourceful.
- Excellent interpersonal and communication skills.
- Excellent writing skills in English (as main customers and suppliers are outside Quebec and legal counsel will support operations outside Quebec); knowledge of German is an asset.
- Proactive, creative and able to learn quickly.
- Excellent knowledge of MS Office (Word, Power Point, SharePoint and Teams).
