POSITION SUMMARY

The role of Attorney directly supports the company's mission to develop and deliver clean power plants that make 100% renewable energy a reality for the world. As an Attorney, you will be responsible to provide legal support (legal advice, contract negotiation and drafting, dispute management, regulatory compliance, and insurance management) to all business teams within Nordex North America and be part of a Legal Team's focus on corporate and commercial law matters, with a concentration on the preparation and negotiation of complex tenders with customers for the supply and maintenance of wind turbine generators for wind farms throughout North America. Additional responsibilities include preparation and negotiation of supply contracts with us or other suppliers, the preparation and negotiation of financing and project financing agreements including the legal and financial structuring of such projects, providing legal support to the Sales, Project Management, Service, Engineering, and Human Resources teams, environmental, municipal and intellectual property matters, legal disputes, and insurance matters. From time to time, involvement in other international legal projects of the Nordex Group may be required.

WHAT YOU'LL DO

  • Prepares, reviews, edits, and negotiates commercial contracts with customers (including supply, service, finance, and warranty agreements), as well as with suppliers (including master purchasing agreements, subcontractor agreements, logistics contracts, and consulting agreements).
  • Provide legal advice (via meetings, teleconferences, and e-mail) to all Company business teams on diverse legal issues, but especially to Sales, Procurement, Project Management, Service, Finance, and People & Culture.
  • Prepares, reviews, edits, and negotiates non-disclosure agreements with prospective and existing customers and suppliers.
  • Manages insurance issues, including analyzing coverage issues, supporting claims and claim investigations, and coordinating with external insurance brokers, as well as direct resolution of legal disputes through claim investigation and direction of outside litigation counsel.
  • Manages corporate compliance documents (preparation of corporate resolutions, stock registers and certificates, corporate minutes, etc.) and government registrations.


WHAT YOU HAVE

  • Law degree (Juris Doctor) required from an accredited Canadian law school
  • Current law license in Quebec
  • 4 to 8 years of law firm practice encompassing international business matters, or in-house experience at an international or global company.
  • Ability to operate, influence and counsel at the most senior level within the legal function and to business clients.
  • Excellent oral and written communication, negotiation, and drafting skills.
  • Highly motivated and business oriented.
  • Capable of working independently; however, with the support from, and in cooperation with the other members of the global Nordex Legal Team.
  • Exposure to international business law is a plus.
  • Professional experience reflecting the ability to work through complex issues and provide sophisticated and practical advice to company goals consistent with the highest integrity.
  • Significant experience with the preparation and negotiation of supply contracts, maintenance and service contracts, subcontractor agreements, project financing agreements including the legal and financial structuring of such projects, non-disclosure agreements, and purchasing terms and conditions, as well as familiarity and experience working with U.C.C. Article 2 provisions.
  • Experience with corporate governance issues.
  • Risk management, insurance, and employment law are a plus.
  • Experience with transport and shipping contracts, including bills of lading, and other common shipping documents a plus
  • Ability to successfully complete all Canadian regulatory laws surrounding pre-employment screening requirements.
  • Must be able to work in Canada with no Company sponsorship and have the ability to travel to the US for training.
  • Fluency in English and French is mandatory. Spanish and/or German is a plus.
  • Ability to travel domestic and international locations on business as required with the ability to obtain a passport.
  • Driving is an essential function of the job. Must possess a full valid driver's license and be insurable under our auto insurance policy. This position will be subject to periodic driver's abstract checks to confirm continued insurability.

The pay for this role is exempt at $162k - $195k CAD salary with up to a 15% bonus.  Individual compensation packages are based on various factors unique to each candidate, including skill set, experience, qualifications, and other job-related factors.
