Contracts Counsel
Employment Type: Full-Time
Location: New York, NY or Mclean, VA
Job Overview
Pixalate is seeking an experienced Contracts Counsel to join our growing legal team. This role is central to supporting Pixalate's commercial operations by drafting, reviewing, and negotiating a high volume of technology and data licensing agreements, SaaS contracts, partnership deals, and vendor agreements. You will work closely with Sales, Finance, Product, and executive leadership to enable business transactions while managing legal risk. This is an excellent opportunity for a commercially minded Counsel who thrives in a fast-paced technology environment and enjoys being a true business partner - not just a gatekeeper.
Key Responsibilities
  • Draft, review, and negotiate commercial agreements including SaaS agreements, data licensing deals, MSAs, SOWs, NDAs, and vendor/supplier contracts
  • Serve as the primary legal point of contact for Sales and Business Development on all contract-related matters
  • Develop and maintain standard contract templates, playbooks, and fallback positions to streamline the contracting process
  • Advise internal stakeholders on contract terms, risk allocation, liability exposure, IP ownership, and data privacy obligations (GDPR, CCPA, etc.)
  • Manage the end-to-end contract lifecycle, including tracking, execution, renewals, and amendments using contract management tools
  • Coordinate with outside counsel on specialized matters, IP, litigation support, and regulatory inquiries as needed
  • Partner with the Finance and Revenue Operations teams to ensure deal structures align with revenue recognition requirements
  • Support corporate governance activities, including board resolutions, entity maintenance, and compliance initiatives
  • Stay current on relevant legal developments in adtech, data privacy, AI regulation, and digital advertising
  • Identify opportunities to improve and scale legal processes across the organization

Qualification
  • Juris Doctor (JD); admission to at least one U.S. state bar (required)
  • 4-7 years of relevant legal experience, with a strong focus on commercial/technology transactions (law firm and/or in-house)
  • Demonstrated experience drafting and negotiating complex technology contracts, including SaaS, data licensing, API, and platform agreements
  • Solid understanding of data privacy law (GDPR, CCPA/CPRA) and how privacy requirements intersect with commercial agreements
  • Experience in the adtech, martech, digital media, or data intelligence space strongly preferred
  • Excellent written and oral communication skills with the ability to explain complex legal concepts to non-legal stakeholders
  • Highly organized, detail-oriented, and capable of managing multiple priorities in a fast-moving environment
  • Proficiency with contract lifecycle management (CLM) tools and legal technology platforms
  • Self-starter who can work independently and collaboratively with cross-functional teams

Preferred Qualifications
  • Experience with programmatic advertising, real-time bidding (RTB), supply path optimization, or connected TV (CTV) platforms
  • Familiarity with MRC standards, IAB frameworks, or digital ad industry self-regulatory bodies
  • Experience supporting enterprise SaaS sales cycles and working directly with revenue-generating teams
  • Exposure to IP licensing, open-source compliance, or AI/ML data use agreements
