Job Description

Arvato is seeking a mid-level corporate attorney (2-7 years of experience) to join its Legal Department either in Boston, New York, Memphis, or Louisville. This role will primarily support procurement and commercial contracting activities, providing legal guidance to and working closely with procurement, finance, and business stakeholders to review, draft, and negotiate vendor and supplier agreements, while helping manage legal and business risk. ย The attorney will also provide support on other commercial agreements, general corporate matters and may assist with selected employment, compliance, and policy related issues.

YOUR TASKS

  • Draft, review, and negotiate a variety of procurement related and commercial agreements, including but not limited to the following: vendor and supplier agreements, master services agreements (MSAs), statements of work (SOWs) and change orders, non disclosure and confidentiality agreements (NDAs), software, SaaS, and technology license agreements, professional services and consulting agreements, and other commercial and operational contracts supporting procurement and business operations
  • Partner closely with procurement and business teams to support sourcing initiatives, manage contractual risk, and ensure alignment with company policies and approval processes
  • Provide practical, business oriented legal advice to internal stakeholders on contract interpretation, risk allocation, and commercial terms, with appropriate supervision and escalation as needed
  • Assist with the development, review, and maintenance of contract templates, playbooks, and internal guidelines related to procurement and vendor management
  • Conduct legal research and monitor regulatory developments relevant to commercial contracting, data protection, transportation management, and vendor relationships
  • Assist with internal policies, procedures, and selected employment or compliance matters, as needed, in collaboration with HR and compliance teams
Qualifications
  • To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. The requirements listed below are representative of the knowledge, skill, and/or ability required.
  • J.D. degree from an accredited law school and admission to at least one U.S. state bar (Massachusetts, New York, California, Tennessee or Kentucky preferred, but not required).
  • 2-7 years of hands-on legal experience, gained in a law firm and/or in house legal department, independently drafting, reviewing, and negotiating commercial contracts, with a meaningful portion of that experience focused on procurement, vendor, supplier, technology, SaaS, professional services, or other operational agreements
  • Experience must include direct responsibility for issue-spotting, drafting revisions, negotiating with counterparties, and advising internal business stakeholders
  • Demonstrated ability to independently analyze contract risk, propose practical revisions, and explain legal and business implications to non-legal stakeholders.
  • Excellent organizational skills and ability to prioritize and manage deadlines in a fast-paced work environment
  • Excellent writing, oral communication and analytical skills, including critical thinking and business judgment.
  • Ability to manage a high-volume contract workload with appropriate supervision, including independently preparing markups, identifying material issues, and escalating legal or business risks when appropriate.
  • Ability to collaborate and communicate effectively with business colleagues
  • Sound judgment, attention to detail, and a collaborative, team oriented approach
