Midlevel EC/VC Corporate Associate

Direct Counsel is seeking a Midlevel Corporate Associate with 4-6 years of experience in Emerging Companies & Venture Capital (EC/VC) to join a prestigious law firm’s Southern California offices (Century City, Los Angeles, or Newport Beach). This role offers the opportunity to advise startups, venture capital investors, and high-growth companies through all stages of their business lifecycle.

Key Responsibilities
  • Advise emerging companies and venture capital investors on corporate and transactional matters.
  • Draft and negotiate venture capital financing documents, including term sheets, convertible notes, and NVCA financing agreements.
  • Counsel clients on corporate governance matters, including board and shareholder issues.
  • Support clients in M&A, joint ventures, and strategic transactions.
  • Conduct due diligence and assist with transactional closings.
  • Serve as outside corporate counsel to early- and late-stage private companies.
  • Manage client relationships and coordinate with outside counsel.
Qualifications
  • J.D. from an accredited law school.
  • Admission to the California Bar.
