Job description

Job Title: Assistant General Counsel
Location: Carmel, IN
Manager: VP of Administration

Job Summary
The Assistant General Counsel provides comprehensive legal support to Sagepoint Energy and its affiliates, including Sagepoint Logistics, across a broad range of business activities. This role serves as a trusted in-house legal resource, advising leadership on matters related to energy and renewables, commercial contracting, employment law, logistics and transportation, and general corporate compliance. The Assistant General Counsel partners closely with the VP of Administration and other senior leaders to manage legal risk, support business transactions, and ensure the company operates in accordance with applicable laws and regulations.

Essential Duties and Responsibilities
  • Draft, review, and negotiate a broad range of commercial contracts, including service agreements, vendor contracts, land and lease agreements, transportation and logistics contracts, and energy offtake and supply agreements.
  • Provide legal guidance on energy regulatory matters, including renewable fuel standards (RFS), renewable natural gas (RNG), and compliance with federal, state, and local energy regulations.
  • Advise on employment law matters, including hiring practices, employee relations, wage and hour compliance, policy development, and separation agreements.
  • Support corporate transactions, including mergers, acquisitions, joint ventures, and other strategic initiatives, coordinating with outside counsel as needed.
  • Manage and coordinate outside counsel relationships to ensure cost-effective and timely delivery of legal services.
  • Identify and assess legal risks across business operations and proactively recommend strategies to mitigate exposure.
  • Develop, implement, and maintain company-wide legal policies, procedures, and compliance programs.
  • Support Sagepoint Logistics on transportation and freight regulatory matters, including DOT compliance, carrier agreements, and logistics-related disputes.
  • Assist with dispute resolution, claims management, and litigation oversight in coordination with outside counsel.
  • Provide legal support for financing transactions, including credit agreements, lender negotiations, and associated documentation.
  • Advise on intellectual property, data privacy, and other emerging legal issues relevant to the business.
  • Stay current on legislative and regulatory developments affecting the energy, renewables, and logistics industries and communicate relevant updates to leadership.

Education/Experience is required when indicated, desired otherwise.
  • Juris Doctor (J.D.) from an accredited law school required.
  • Active bar admission in Indiana (or ability to obtain Indiana bar admission) required.
  • 3-5 years of legal experience, with a combination of law firm and/or in-house corporate counsel experience preferred.
  • Experience in one or more of the following areas is strongly preferred: energy or oil and gas law, renewable energy and RNG, commercial contracts, employment law, or logistics and transportation law.
  • Demonstrated ability to draft and negotiate complex commercial agreements independently.
  • Familiarity with DOT, FERC, EPA, RFS or other applicable regulatory frameworks is a plus.
  • Strong business acumen with the ability to balance legal risk against commercial objectives.
  • Excellent written and verbal communication skills, with the ability to convey complex legal concepts clearly to non-legal stakeholders.
  • Highly organized, self-directed, and capable of managing multiple priorities in a fast-paced environment.
  • Collaborative team player with a practical, solutions-oriented approach to legal problem-solving.

Compensation
Salary is paid on a bi-weekly basis and will be consummate with the value and experience the candidate brings to the role. In addition to base salary, compensation includes the option to participate in company sponsored medical, dental, and vision insurance plans and in a retirement savings program as well as paid personal time off and holidays. You will also be eligible for participation in the employee bonus/incentive plans.
