JMTest Systems is seeking a detail-oriented and analytical Junior Attorney - MSAReview & Corporate Contracts to support the organization's contractual andcorporate legal operations. In this role, you will independently review,negotiate, and advise on a wide range of commercial agreements, with a strongfocus on Master Service Agreements (MSAs). You will work closely with internalstakeholders to provide legal guidance, manage contractual risk, and supportcompliance initiatives while utilizing AI-enabled legal tools to improveefficiency and contract analysis. WhatYou'll Do:
1. ContractReview & Administration:
  • Independentlyreview, analyze, negotiate, and provide legal guidance on MSAs and relatedagreements
  • Draft,revise, and manage amendments, addenda, and supporting contractual documents
  • UtilizeAI-enabled legal tools for clause identification, contract comparisons,summarization, and risk analysis while applying independent legal judgment tovalidate outputs
  • Providelegal support for NDAs, marketing agreements, independent contractoragreements, employment agreements, and non-compete agreements
  • Managethe full contract lifecycle including intake, review, execution, renewals, andversion control
  • Completevendor forms and customer questionnaires required for onboarding
  • Coordinatecustomer certificate of insurance requests with insurance providers to ensurecompliance with contractual language
  • Collaboratewith Sales and Contract Management teams regarding pricing structures andcontract documentation

2. LegalCollaboration & Risk Management:
  • Serveas a primary legal resource for internal stakeholders by providing legalsummaries, compliance recommendations, and contract risk assessments
  • Leadand participate in contract negotiations, including drafting and managingredlines and coordinating approvals
  • Supportethics and compliance initiatives related to contractual obligations, datagovernance, and regulatory requirements

3. CorporateGovernance & Compliance Support:
  • Draft,review, and advise on corporate governance documents for corporations, LLCs,and partnerships
  • Supportentity formations, business filings, and ongoing compliance requirements
  • Assistwith licensing renewals and maintenance of corporate registrations
  • Researchand advise management on legislative and regulatory developments impactingbusiness operations

4. Document& Data Management:
  • Maintainorganized and accurate contract records in compliance with legal and companystandards

  • JurisDoctor (J.D.) from an ABA-accredited law school required
