What work will you perform?
The Corporate Paralegal provides legal and administrative support within the legal team and across all company departments. Public company experience is highly desirable to support activities related to stock, equity, shareholder meetings, BOD materials, and Nasdaq reporting. You will also support people related items including unemployment claims, workers compensation claims and employment verifications. Litigation and regulatory experience will allow you to support discovery requests and responses as well as subpoena related inquiries, case management legal file retention.
Essential Responsibilities:
  • Provide litigation and regulatory support to the legal department, as needed, including with respect to the coordination of discovery requests and responses, responses to subpoenas and regulatory inquiries, case management, and updating legal files in eRims.
  • Work under the supervision of the Vice President and General Counsel and with Landstar's transfer agent (Computershare) in preparation for the company's annual meeting of stockholders, including the preparation of documentation relating
  • Maintain Corporate Records, including the Corporate Data Sheets, and Corporate Seals for each of the Landstar companies.
  • Support the legal department, as needed, in drafting materials for Landstar board members and executives.
  • Work independently with the Landstar tax department in assisting with the administration of qualification and withdrawal applications to conduct business in various jurisdictions. This includes drafting of the paperwork for sending to CT Corporation, which will then work with the Secretary of State.
  • Compare and review stock documentation received from outside brokers and Landstar's accounting department for all stock transactions. Work independently on documentation with the company's transfer agent involving Employee and Board member stock transactions.
  • Support the Vice President and General Counsel, as needed, with respect to the administration of Landstar equity plans.
  • Support the Vice President and General Counsel, as needed, with respect to administration of documentation relating to Landstar's stock purchase program.
  • Prepare and submit Dividend Reports to Nasdaq for all Landstar's dividends. Also, prepare and submit dividend report to company transfer agent, Computershare.
  • Support Legal, Payroll and Tax departments, as needed, on obtaining, maintaining and/or discontinuing operating authorities, registrations and licenses.
  • Work under the supervision of the Assistant General Counsel and defend all Workers' Compensation Claims and Un-employment Claims brought against any Landstar company, by a non-employee.
  • Check Corporate Mailbox twice a month and retain a written summary. Report any issues to the General Counsel.
  • Obtain and maintain a Notary and provide notary service to General Counsel and any other Landstar department or personnel.
  • Assist the Settlement department with all Income Withholding Orders, Garnishments, Levies and UCC liens against operators, agents and independent contractors.

Required Minimum Experience and Education:
  • High School Diploma or GED
  • 5 years of corporate paralegal experience

Preferred Experience and Education:
  • Associate's degree
  • Paralegal certificate
  • 5 years of corporate paralegal experience in a publicly traded company
  • 3 years of experience in litigation and claims

Knowledge, Skills, and Abilities:
  • Proficiency in Word
  • Excellent proofreading skills
  • Typing 60 CWPM
  • Excellent communication skills, verbal and written
  • Excellent organizational skills
  • Ability to work independently
