HOW YOU WILL MAKE AN IMPACT:
The Corporate Paralegal and Legal Operations Manager supports the legal department by assisting with corporate governance, entity management, compliance, and transactional matters. This role works closely with in-house counsel, business teams, and external advisors to ensure the organization operates in accordance with legal and regulatory requirements. This role also supports legal technology, including AI, the legal department budget process and creating and managing workflows, processes and projects to improve day-to-day efficiency and effectiveness of the legal team. This is a generalist role that involves working closely with the legal team to provide research and organizational support to help the legal department run efficiently.
WHAT YOU WILL DO:
  • Maintain corporate records, including minute books, resolutions, and governance documents
  • Assist with entity formation, dissolution, and qualification across jurisdictions
  • Prepare and file corporate documents such as annual reports, registrations, and amendments
  • Support board and committee meetings, including drafting agendas, minutes, and materials
  • Manage and track legal entities, subsidiaries, and organizational structure
  • Assist with contract review, drafting, and contract administration (NDAs, vendor agreements, etc.)
  • Coordinate due diligence and document management for mergers, acquisitions, and other transactions
  • Prepare corporate policies, governance standards, and regulatory requirements
  • Liaise with external counsel, regulatory bodies, and internal stakeholders
  • Support strategic and operational initiatives for the Legal department with on-time and on-budget results, including BoardVantage, Docusign, and Computershare, etc.
  • Support AI use within the department and the company
  • Report on key operational and substantive metrics for the legal team that will drive efficiency
  • Assist in managing the departmental budget, working with VB Finance to enable department tracking and forecasting of Legal spend
  • Collaborate with cross-functional teams, including, sales, support, compliance, IT, finance as well as other various business units

QUALIFICATIONS:
Education, Certification and Experience
  • BA or BS degree or Paralegal Certificate from an accredited program
  • 5-7 years of experience in corporate paralegal work and legal operations in-house or at a law firm (both preferred)
  • Strong knowledge of corporate governance, entity management and corporate compliance
  • Strong experience in implementing legal department technology, incorporating AI into legal workflows and budget solutions
  • Proven track record of collaborating with cross-functional groups
  • Strong proficiency in Outlook, Microsoft Word, Excel, PowerPoint
  • Proficiency with AI tools such as CoPilot, ChatGPT, etc. and ability to learn new systems/technology

Physical Demands and/or Work Environment
This job operates in a professional office environment. Largely a sedentary role with some filing requiring the ability to lift files, open filing cabinets and bending as necessary. This role is expected to be fully in office four days per week, Monday-Thursday.
