Crane ChemPharma & Energy Flow Solutions is a division within the Fluid Handling Business Segment of Crane Co, a US multi-national which specializes in highly engineered products in niche markets. Crane ChemPharma & Energy Flow Solutions designs, manufactures, markets and distributes a range of process valves and actuators under multiple brand names for a wide range of applications in a number of industries including the refinery, chemical, biopharmaceutical, and energy industries.

JOB SUMMARY:

Supports the business team in the effective review, negotiation, and management of contracts to enable achievement of business plan goals, while minimizing the company's contractual risk and liability. Leads the site compliance program.

In-depth understanding of government contracting terms, compliance, legal clauses, risk interpretation and mitigation in contracts for executing legal documents to ensure there is no/minimum risk to Crane and protected against any liabilities.

KEY RESPONSIBILITIES:

  • Partner with the business to review all contracts related to Customer and Supplier agreements.

  • Partners with business to review, draft and negotiate major account agreements, consulting agreements, special licensing, non-disclosure agreements, terms & conditions, amendments for customer orders and ensure there is no/minimum risk to Crane.

  • Ensure compliance with all Crane contracts policies and procedures (e.g. CP-400, CP-102 ABC, and CP-GC Series). Interface as needed with internal legal team and outside attorneys to resolve contracts issues. Participate in Crane contract risk monthly reviews.

  • Ensure compliance with all government regulations applicable to US government contracts. May be required to perform duties related to government incident evaluation and reporting.

  • Represent Crane for finalizing and negotiating terms and conditions of contracts with Customers, Suppliers, Distributors, and Sales Representatives.

  • Prepare contracts for internal review and approval and ensures compliance with company policies as well as applicable laws or regulations.

  • Interpret contracts and advises business managers on contractual responsibilities, obligations, and penalties if any.

  • Translate complex commercial/legal scenarios into simple language and action plans for business.

  • Manage a contract tracking and archiving system that will ensure traceability and security of executed customer contracts and changes.

  • Develop and present contracts training that will ensure understanding of key contracting topics by the customer business team.

  • Execute and continuously improve processes and procedures for customer contracts management, using Crane Business System principles and tools.

  • Support group and corporate compliance initiatives, both at the local site level and in close coordination with peers at other sites.

  • The focus of this position may be heavily weighted in one or more of the following areas, depending on the make-up of the contracts team and current business needs: Commercial contracts, government contracts, compliance, and/or intellectual property.

  • Other tasks or responsibilities as assigned by supervisor, Contracts Director, or management.

This position can be based in The Woodlands, TX, Montgomery, TX, Jurupa Valley, CA or Brazil, IN.

REQUIRED QUALIFICATIONS/EXPERIENCE:

  • Experience: Five years of relevant experience in contracts management, contract law, or business management, with specific experience in Government Contracting clauses and Compliance.

  • Knowledge: Demonstrated in-depth understanding of contract terms and risk management. Knowledge of relevant regulations, including those administered by U.S. Departments of State, Commerce, and Treasury (ITAR, EAR, OFAC).

  • Skill: Proficient in conflict resolution, negotiations, time management, excellent communication, interpersonal and presentation skills.

  • Education: Degree in Law or alternate education and contract certification.

  • Certification: Preferred CCCM certification(Certified Commercial Contracts Manager) / CPCM certification (Certified Professional Contracts Manager) / CFCM certification (Certified Federal Contracts Manager) awarded by the National Contract Management Association (NCMA) or equivalent.

  • Security Clearance: Ability to obtain a US government security clearance may be required for Contracts Managers.

  • US Persons/Citizens: Due to the export-controlled nature of our products and data, US Person status is required.

Salary range: $123,000 to $160,000. Several factors contribute to actual salary, including experience in a similar role or performing comparable job responsibilities, skills, training, and other qualifications. Compensation packages also include comprehensive benefits, 401K contribution and match, Paid Time Off, paid holidays, tuition reimbursement and more. Some roles may be eligible for participation in performance-based bonus programs.
