Job description

Direct Counsel is seeking a Debt Finance Associate with 3–6 years of experience to join a premier finance practice representing private equity sponsors, corporate borrowers, lenders, and other market participants in sophisticated financing transactions.

This is an outstanding opportunity for attorneys interested in working on complex leveraged finance, acquisition finance, restructuring, and debtor-in-possession financing matters. The ideal candidate will have strong transactional experience, exceptional drafting and negotiation skills, and a desire to work on high-profile financing transactions in a fast-paced and collaborative environment.

Responsibilities
  • Structure, negotiate, and document secured and unsecured financing transactions for borrowers and lenders
  • Draft and negotiate credit agreements, security documents, intercreditor agreements, and related financing documents
  • Advise clients on senior secured, mezzanine, subordinated debt, and acquisition financing transactions
  • Support leveraged buyouts, mergers and acquisitions, recapitalizations, and strategic financing transactions
  • Assist with loan workouts, restructurings, amendments, and debtor-in-possession financing matters
  • Conduct legal due diligence and assist with transaction structuring and execution
  • Coordinate with sponsors, borrowers, lenders, and multidisciplinary deal teams throughout the transaction lifecycle
Qualifications
  • 3–6 years of debt finance, leveraged finance, banking, restructuring, or related transactional experience
  • Experience representing borrowers and/or lenders in complex financing transactions
  • Leveraged finance experience, particularly in connection with mergers and acquisitions, is strongly preferred
  • Experience with restructurings, loan workouts, and debtor-in-possession financings is a plus
  • Excellent drafting, negotiation, analytical, and project management skills
  • Outstanding academic credentials and attention to detail
