Job description

Position Summary

Arcesium seeks a Legal Operations & Contracts Manager to join our Client and Partner Development team. In this role you will own the end-to-end lifecycle of a broad and complex contract portfolio spanning SaaS and professional services agreements, data licensing agreements, software licenses, and vendor and counterparty agreements. You will serve as a primary point of contact for clients, vendors, and strategic partners while coordinating closely with Legal, Sales, Account Management, Product, and Finance internally. The ideal candidate brings domain fluency in financial operations and enterprise software-enabling faster ramp time and higher-quality negotiations-and a track record of building scalable legal operations processes in a high-growth technology environment. Effective contract management is a critical driver of Arcesium's growth and risk posture.


Responsibilities

  • Drafting, reviewing, and redlining a full spectrum of agreements, including SaaS and professional services agreements, data licensing agreements, software license agreements, and vendor and counterparty contracts
  • Negotiating legal and commercial terms directly with clients, vendors, and partners, and escalating risk and non-standard positions to internal counsel with appropriate context and recommendations
  • Maintaining a centralized, accurate contract repository; tracking key obligations, renewal dates, and expirations; and ensuring timely action on all milestones
  • Identifying opportunities for process improvement and devising plans to implement the changes
  • Providing advice and guidance to different teams relating to contract terms
  • Building and maintaining relationships and creating trust with internal and external stakeholders
  • Collaborating with and presenting to senior stakeholders on contract status, risk exposure, client agreement terms, and strategic partnership terms
  • Managing vendor relationships and the full vendor contracting lifecycle, including software, data, and third-party service providers; owning renewals, terminations, and amendments in coordination with Finance and Procurement
  • Interpreting and applying data licensing terms, use restrictions, and permissioned data rights in collaboration with Product and Compliance, ensuring Arcesium's use of licensed data remains within agreed parameters
  • Leading legal operations initiatives, including evaluating and implementing contract lifecycle management (CLM) tooling, informing negotiation strategy by agreement type, and training Sales and Account Management on contracting processes and escalation paths 

Qualifications

  • The ideal candidate will have 7+ years of experience in contracts, legal operations, or a closely related field, with direct exposure to SaaS, enterprise software, or financial technology
  • Experience drafting or negotiating enterprise SaaS agreements, data licensing agreements and an understanding of financial operations workflows (fund accounting, reconciliation, reporting, or similar) are strongly preferred and will significantly shorten ramp time
  • Experience negotiating agreements which incorporate AI component terms, and experience using AI tools to drive efficiency are strongly preferred
  • This individual must be an organized, process-oriented problem-solver who can manage a high-volume and varied contract portfolio while prioritizing effectively
  • The successful candidate will demonstrate strong commercial judgment, excellent written and verbal communication skills, and the ability to work constructively across legal, business, and technical stakeholders
  • Experience evaluating or implementing contract lifecycle management (CLM) platforms is a plus
  • A bachelor's degree is required; a J.D. or paralegal certification is a plus

The expected annual base salary for this position is $150,000.00-$180,000.00. Our compensation package includes variable compensation in the form of a year-end bonus, guaranteed in the first year of hire, benefits including medical and prescription drug coverage, and 401k contribution matching.


The applicable annual base salary paid to a successful applicant will be determined based on multiple factors including without limitation the nature and extent of prior experience and educational background.
