Job description

IT Contracts Specialist I

(on-site, hybrid, local) 

Position Summary 

Supports IT Contracts and the Governance, Risk, and Compliance team by coordinating the review, administration, tracking, and execution of technology-related agreements.  Provides administrative and analytical support while developing knowledge of technology contracting concepts, software licensing, SaaS, cloud services, cybersecurity requirements, HIPAA, privacy, and contract lifecycle management. 

This position will report to the Manager, IS Contracts. 


Responsibilities 

  • Coordinate the intake, routing, and tracking of IT contracts, Information Technology Security Agreements (ITSAs), Business Associate Agreements (BAAs), amendments, statements of work (SOWs), order forms, renewals, and termination notices.  
  • Maintain ServiceNow contract repositories and ensure contract records are complete and accurately documented.  
  • Track contract milestones, expiration dates, renewal deadlines, and required notices.  
  • Assist with gathering signatures using Adobe Sign and managing contract execution workflows.  
  • Maintain contract naming standards and file organization practices. Consistent contract organization and file standards are an identified internal objective. 
  • Provide preliminary contract reviews, contract summaries, and risk reviews using industry-leading tools.  
  • Review, interpret, and abstract IT contracts including Master Services Agreements, Software License Agreements, Statements of Work, Software-as-a-Service Agreements, Hardware Agreements and Leases, Telecommunication Agreements, and Amendments. 
  • Produce analysis that assists contract strategy sessions in collaboration with other corporate functional areas, including Procurement, Legal, Finance, HR, Compliance, and other IS departments. 
  • Support the Manager, IS Contracts, and serve as a point of contact for internal customers and outside vendors on contractual matters.  
  • Assist with incorporating approved contract language into vendor agreements and SOWs. 
  • Compare vendor documents against approved organizational standards and templates. 
  • Assist with the review of renewal orders, including coordinating with the vendor to review and finalize renewal orders and working directly with the purchasing team to complete purchase order transactions. 
  • Prepare termination letters and contract renewal reports.  
  • Assist with IT Contract Commitment reporting for the finance department.    
  • Assist with IT contract-related projects. 
  • Support the development and implementation of procedures for IT Contracts Lifecycle Management with the ServiceNow Contracts Lifecycle Management solution.  
  • Abstract key contract data into the contract management system. 
  • Acquire knowledge and maintain education on key legal issues, contractual issues, and IT developments and trends. 
  • Other duties as assigned. 

Qualifications 

  • AA/AS degree, IT or paralegal certificate, or equivalent combination of education, certification, and relevant work experience, preferably in IT.  
  • Experience in contracting, IT operations, procurement, or a related field, or a strong demonstrated interest in developing in these areas with a proactive attitude, willingness to learn, and ability to collaborate effectively with colleagues at all levels of an organization;  
  • Possess a basic understanding of: Software licensing models; SaaS and cloud services; Technology maintenance and support agreements; Security, cybersecurity, and privacy requirements; Business Associate Agreements, IT service agreements, and data protection requirements 
  • Must have strong analytical skills.
