Our client, a prominent Amlaw 50 global law firm, is seeking a driven Associate Attorney to join its dynamic Technology Companies Group. This role offers a unique opportunity to advise innovative venture-backed companies and investors on private offerings, venture capital financings, and high-profile M&A transactions shaping the technology landscape.
Candidate Profile
  • JD from a top-tier law school with an excellent academic record
  • Active Bar Admission in the applicable jurisdiction, in good standing
  • 4-6 years of substantive experience in venture capital, private offerings, and transactions for emerging companies
  • Proven experience advising high-growth technology clients and investors in complex financings and M&A deals
  • Exceptional research, analytical, drafting, and communication skills
  • Ability to thrive in a fast-paced environment while maintaining meticulous attention to detail
  • Highly motivated, collaborative, and client-focused professional with outstanding interpersonal skills

Key Responsibilities
  • Advise emerging technology companies and investors on venture capital financings, private offerings, and corporate governance matters
  • Support M&A transactions, including high-profile acquisitions and sales of technology businesses
  • Draft, review, and negotiate investment agreements, stock purchase agreements, and other transactional documents
  • Collaborate with attorneys across practices to provide comprehensive and strategic client support
  • Stay current on emerging trends and developments in the technology and venture capital markets

Compensation & Benefits
  • Competitive Salary: Expected annual base salary ranges from $310,000 to $390,000, as determined by experience and market factors
