KEY RESPONSIBILITIES
M&A, IPOs & Transaction Execution
  • Support and execute mergers, acquisitions, divestitures, joint ventures, minority investments, and IPO-related transactions, including carve-out IPOs and spin-offs.
  • Own defined transaction workstreams, including valuation, financial modeling, diligence coordination, and transaction documentation support.
  • Support IPO execution activities as part of broader transaction mandates, including IPO readiness analysis, separation planning support, governance documentation, and regulatory filing preparation.
  • Coordinate and track comprehensive due diligence across financial, legal, regulatory, operational, tax, and ESG workstreams.
  • Prepare transaction analyses, financial models, investment memoranda, and presentation materials for senior management and, where appropriate, the Board of Directors.
  • Coordinate with and support the management of external advisors, including investment banks, legal counsel, accounting firms, and consultants.

Portfolio Transactions & Post-Close Execution
  • Support portfolio-related transactions such as carve-outs, restructurings, minority sales, and exits.
  • Assist in transaction-related integration and separation planning in collaboration with Finance, Legal, HR, IT, and Operations.
  • Track post-close execution milestones, synergy initiatives, and key deliverables to support transaction objectives.
  • Demonstrate a thorough understanding of TSA evaluation in the pre-close planning phase to identify the deal perimeter and where the gaps will appear when executing the transaction.

Cross-Functional Collaboration
  • Serve as a core project team member and partner with functional, business unit teams and external advisors for operational understanding to drive overall transaction execution.
  • Provide structured updates on transaction progress, risks, and open issues to Corporate Development leadership.
  • Build strong working relationships across a global, matrixed organization and with external advisors.

Governance, Risk & Compliance
  • Manage the deal execution, providing centralized governance and coordination to keep the respective teams involved in the deal on track
  • Drive successful execution against deal milestones by tracking milestones, making key recommendations to stakeholders, and holding cross-functional teams accountable for timely execution of deliverables
  • Support adherence to internal governance processes, accounting standards (IFRS/GAAP), and applicable regulatory requirements.
  • Assist in identifying, documenting, and escalating transaction-related risks.
  • Maintain organized transaction documentation and approval records.

JOB REQUIREMENTS
Education
  • Bachelor's degree in Finance, Economics, Business, or a related field
  • MBA or equivalent advanced degree preferred

Experience
  • 6-10+ years of experience in corporate development, investment banking, private equity, transaction advisory, or strategy consulting with strong transaction exposure.
  • Hands-on experience supporting complex M&A and divestiture transactions; exposure to IPOs, carve-outs, or spin-offs is a strong plus.
  • Experience operating in large, global, matrixed organizations or advising them.
  • Prior experience interacting with senior executives.
