Empower Aesthetics (โ€œEmpowerโ€) and Shore Capital Partners (โ€œSCPโ€) are seeking a Mergers & Acquisitions Associate to

support acquisitions and other Business Development initiatives for our exciting new platform investment in the medical

aesthetics / medical spa space, launched in 2022. The headquarters of Empower and the location of this role is in Austin,

Texas. Empowerโ€™s focus is on managing and growing medical aesthetics practices, which offer a wide variety of minimally

invasive, non-surgical cosmetic services including injectables (like Botox and fillers), body contouring, laser and needle-

based skin services, and aesthetician services.

Role Overview

The Mergers & Acquisitions Associate will be responsible for supporting the execution of Empowerโ€™s add-on growth strategy,

including developing a robust pipeline of affiliation targets, financial and operational analytics and modeling, and transaction

diligence and execution. The individual will report directly to the Chief Development Officer and will have a high level of

visibility and interaction with the rest of the executive management team and with the Shore Capital Partners team.

Empowerโ€™s primary growth engine is successfully acquiring and integrating add-on practices, and the Company is expected

to close a high volume of deals. This is an excellent position for an individual that has 2+ years of experience within private

equity, investment banking, transaction advisory, or another financial or financial advisory institution, is eager to gain quality

deal repetitions to develop their M&A experience, and has broader Mergers & Acquisitions and management aspirations.


Responsibilities

  • Support the execution of add-on acquisitions
  • Coordinate with sellers to advance deals through the pipeline
  • Lead and perform deal-related analysis, including financial modeling and due diligence review
  • Coordinate financial due diligence and support the executive team in deal structuring and negotiations for add-ons; work with legal counsel and lenders as required
  • Generate scorecards evaluating add-on opportunities and summarize the information to the executive team
  • Develop in-depth acquisition memorandums and present investment rationale to senior management
  • Assist in the tracking and reporting on our robust pipeline of add-on targets
  • Work closely with the executive management team in the development of presentation materials for weekly
  • investment committee meetings and quarterly meetings with our Board of Directors

Necessary Skills

  • Strong financial modeling skills
  • Strong organizational skills; must be able to manage and prioritize multiple business objectives and projects with theproper sense of urgency
  • Effective written, verbal, and electronic communication that is professional in both content and delivery
  • Desire to learn and execute entire deal process from initial screening to transaction close
  • Advanced Microsoft Excel, PowerPoint, and Word skills
  • Ability to maintain confidentiality

Professional Qualifications
