About the Role
Direct Counsel is partnering with a leading Am Law firm to identify a senior associate for its Investment Funds Group. This role is ideal for a securities lawyer with significant experience managing structured securities offerings, particularly within the real estate space. The position offers the opportunity to work on complex, high-value transactions involving public and private real estate companies, REITs, and institutional investors.

Key Responsibilities

  • Manage structured securities offerings within the investment funds and real estate sectors
  • Advise clients on commercial real estate transactions, including acquisitions, dispositions, financings, and restructurings
  • Represent REITs, institutional investors, and real estate companies across a range of sophisticated transactions
  • Draft and review offering documents and transaction agreements
  • Coordinate deal execution and collaborate with internal teams and external stakeholders
  • Provide strategic legal guidance on complex real estate finance and securities matters

Qualifications

  • 6+ years of experience in securities law, with a focus on structured offerings
  • Strong background in commercial real estate, including finance, acquisitions, and dispositions
  • Experience representing REITs and institutional investors preferred
  • Prior experience at an Am Law 100 firm strongly preferred
  • Excellent analytical, drafting, and organizational skills
  • Strong attention to detail and sound business judgment
  • Ability to manage multiple complex matters and work both independently and collaboratively

Requirements

  • J.D. from an ABA-accredited law school
  • Active bar admission in the jurisdiction of practice

Work Environment
