Per Diem Business / Corporate Transactional Attorney (Remote - Manhattan-Based)
A business owner is seeking an experienced Per Diem Business / Corporate Transactional Attorney to assist with reviewing, drafting, revising, and negotiating a variety of business agreements. This is a flexible remote opportunity ideal for an attorney looking for project-based or ongoing per diem legal work.
Responsibilities Include:
  • Reviewing, drafting, and revising business agreements and contracts
  • Assisting with corporate transactional matters and general business legal needs
  • Reviewing vendor agreements, service agreements, operating agreements, partnership agreements, NDAs, independent contractor agreements, and other commercial contracts
  • Providing practical legal guidance and issue spotting for a growing business
  • Assisting with negotiations and contract modifications as needed
  • Working directly with the business owner in a professional and responsive manner

Qualifications:
  • Licensed and in good standing with the New York State Bar
  • 2+ years of experience in corporate/business transactional law
  • Strong experience drafting and negotiating agreements
  • Experience with mergers and acquisitions, private equity transactions, joint ventures, and corporate governance matters is a plus
  • Ability to manage matters from review and due diligence through drafting and closing
  • Excellent attention to detail and strong organizational skills
  • Strong written and verbal communication skills
  • Ability to work independently and meet deadlines in a remote environment
