Job description

I. Job Summary:
Reporting to the General Counsel, this position will manage and support a range of legal operational initiatives and regulatory filings, Board-related administration, and stock transfer management while serving as a key business partner to the Legal Department. This role blends handson execution with process improvement, systems support, and crossfunctional collaboration to help drive efficiency and support business objectives.  

This role will manage and oversee a number of legal filings and projects, including certain Securities and Exchange Commission (SEC) filings; internal stock transfer agent management record-keeping and filings; and federal and state regulatory filings and calendar.  It will require the ability to operate as a generalist capacity, supporting innovative initiatives such as legal contract management system implementation, organization, and ongoing administration; Artificial Intelligence implementation; subpoena-related workflows; and other legal function operational initiatives to increase efficiency and help drive business objectives. 

II. Duties and Responsibilities:
• Manage the Company’s Section 16 SEC filings, recordkeeping, and stock transfer agent management record-keeping and filings. 
• Issue stock certificates to shareholders and maintain digital records in book-entry form.
• Process transfers to and from brokers. This includes shareholder deposits and withdrawals.
• Oversee the transfer of stock ownership, which can occur due to sales, inheritance, gifts, or other reasons.
• Ensure dividend payments are made to shareholders as declared by the company.
• Assist the General Counsel and other Company executives in planning for the Company’s Annual Shareholder Meeting and proxy filings.
• Coordinate the preparation, organization, and distribution of Board and committee materials, including agendas, presentations, and supporting documentation.
• Oversee the Company’s regulatory filings, calendar, and recordkeeping.
• Partner with members of the Legal and IT teams to help implement a new contract management system and organize and manage administrative aspects of the pre- and post-contract signature process through Shentel’s CLM platform. 
• Own and build the Legal team’s legal operations initiatives, including defining standards, documentation practices, and scalable processes to increase efficiency.
• Identify, assess, and prioritize operational pain points for the Legal Department, translating ambiguous needs into clear requirements and practical solutions that balance immediate impact and business needs with long-term scalability.
• Develop, maintain, and continuously improve Legal team process documentation, templates, playbooks, workflows, and intranet content to ensure information is accurate, accessible, and consistently used across the Legal team and Company.
• Partner with the Legal Department team members to identify and develop legal AI use cases and training for the Legal team, helping design practical guidance and enablement materials based on available AI tools and organizational guardrails.
• Provide ad hoc Legal operations support, including troubleshooting day-to-day operational issues as they arise.
III. Qualification Requirements:
Education: Bachelor’s degree is required
Experience Level: 5+ years of experience in Legal or Business Operations (or as a Paralegal, Project Manager, or Contracts/Documents Manager with strong experience improving processes and operational efficiency)
• Must be a commissioned Notary Public, or have the ability to obtain and maintain a Notary Public commission upon hire.
• Strong proficiency with Microsoft Office Suite, DocuSign, Adobe Acrobat Pro, and a variety of online tools, including spreadsheets and contract or document management systems
• Demonstration of a high degree of accuracy and attention to detail.
• Strong critical thinking and data analytical skills and foundation in document management operations
• A resourceful, detail-oriented, proactive, and intellectually curious individual who is willing to be hands-on and a problem-solver.  
• Must have sound judgement with the ability to effectively prioritize, take initiative, and work independently on projects. 
• Proven experience supporting senior executives and working effectively with crossfunctional and executivelevel stakeholders
• Ability to interact with internal and external stakeholders at all levels
• Demonstrated experience in handling sensitive and confidential company information.

IV. Knowledge of:
• Deep understanding of the day-to-day work of legal functions (e.g., SEC and regulatory filings, Litigation, Employment, Contracts)
• Experience with regulatory filings, including SEC Section 16 filings, annual proxy, and telecommunications regulatory filings.
• Experience with equity plans and equity administration.
• Experience or aptitude for incorporating Artificial Intelligence into daily work to improve efficiency. 
• Experience in a telecommunications or other high-growth technology company
