Job description

Why This Role Matters:

This newly created position sits within our Law and Compliance Department, supporting a fast paced legal team that operates across a complex insurance enterprise with many legal entities. As a Paralegal, you will partner closely with our attorneys on board meeting preparation, legal entity management, and the insurance regulatory and statutory corporate filings that keep our businesses in good standing across every jurisdiction we operate in.

You will work at the intersection of corporate governance, insurance regulation, and transactional support. That includes drafting board materials and resolutions, preparing holding company act filings and statutory insurance schedules, maintaining the digital records behind our director and officer appointments, and supporting M&A diligence and closings as we continue to grow. Your work will directly enable senior leaders, board members, and regulators to make informed decisions with confidence.

How You'll Contribute:

  • Provides general corporate governance support, such as maintaining signing authorizations, providing secretary certificates and know-your-client documentation, forming and organizing new legal entities, and due diligence and closing support for mergers and acquisitions.

  • Prepare annual and quarterly statutory insurance filings, including Jurat pages, interrogatory responses, Schedule Y Part 1 and Part 1A, and organizational charts.

  • Provides support for board meeting preparation.

  • Maintains corporate minutes books and related databases and file shares.

  • Assists with drafting of board materials, including reports, resolutions, minutes and written consents, as well as state insurance department regulatory filings (e.g., holding company act filings).

  • Conducts research on corporate governance and insurance regulatory requirements.

  • Responsible for annual and ad hoc regulatory filings, such as Certificate of Authority renewals, annual reports, and notifications of changes in officers and directors.

  • Maintains digital database of director and officer appointments across numerous legal entities, and assists with completion of biographical affidavits and fingerprinting requirements.

  • Responds to internal and external auditor requests for corporate and regulatory documentation.

  • Assist with ad hoc projects, special project work, and various corporate governance, corporate secretarial and corporate regulatory initiatives.

What We're Looking For:

  • Bachelor's degree and/or paralegal certificate preferred

  • Minimum of 3-4 years of corporate paralegal experience, preferably in the insurance industry

  • Experience with state insurance department regulatory and licensing filings preferred

  • Strong experience with corporate governance work, including preparation of board of directors meeting materials, written resolutions and consents, meeting minutes, etc.

  • Strong communication and organizational skills; superior attention to detail required

  • Team player; collaborative, enthusiastic, results-oriented

  • Proficiency with Microsoft Office (Excel, PowerPoint, Word) and online legal research tools; experience with electronic board portals (such as Diligent) preferred
