Position Overview

Spacebnb Co. is seeking a strategic, business-minded General Counsel to serve as the companys chief legal officer and primary legal advisor. The General Counsel will oversee all legal, regulatory, governance, risk, compliance, contracting, intellectual property, corporate, employment, data, and strategic transaction matters for the company.

This role requires a highly capable attorney who can operate across emerging technology, platform operations, real estate, hospitality, space-adjacent innovation, digital marketplace governance, intellectual property, corporate structuring, and regulatory compliance. The General Counsel will work closely with executive leadership to protect the company, enable growth, manage risk, and build a legally sound foundation for Spacebnb Co.s long-term expansion.

Key Responsibilities

Legal Strategy & Executive Advisory

Serve as the companys senior legal advisor on corporate strategy, risk exposure, governance, compliance, partnerships, platform operations, and commercial expansion.

Advise the CEO, executive team, and board on the legal implications of major business decisions, including fundraising, acquisitions, strategic partnerships, licensing, market entry, product launches, and operational scaling.

Develop and maintain the companys legal infrastructure, including policies, procedures, contract templates, compliance frameworks, governance documentation, approval workflows, and legal risk management systems.

Corporate Governance

Oversee corporate governance matters, including board procedures, meeting documentation, resolutions, officer and director compliance, equity governance, shareholder matters, corporate recordkeeping, and internal governance policies.

Support entity formation, subsidiary structuring, joint ventures, affiliate relationships, cross-border matters, and multi-jurisdictional corporate expansion.

Ensure compliance with applicable corporate laws, securities regulations, fiduciary duties, investor rights obligations, and board-level governance requirements.

Contracts & Commercial Transactions

Draft, review, negotiate, and manage key company agreements, including vendor agreements, partnership agreements, platform terms, customer agreements, licensing agreements, real estate-related agreements, nondisclosure agreements, SaaS agreements, service agreements, employment-related agreements, and strategic alliance documents.

Create scalable contract templates, contracting workflows, approval processes, and negotiation standards that support fast business execution while maintaining legal safeguards.

Advise on risk allocation, indemnification, limitation of liability, insurance requirements, dispute resolution, termination rights, confidentiality, intellectual property ownership, and commercial obligations.

Regulatory Compliance & Risk Management

Monitor and advise on legal and regulatory issues affecting Spacebnb Co.s business model, including hospitality laws, marketplace regulation, real estate compliance, zoning, consumer protection, advertising, privacy, data security, accessibility, insurance, tax, employment law, and emerging technology regulation.

Develop internal compliance systems to reduce regulatory exposure and support responsible company growth.

Coordinate with outside counsel, regulators, auditors, insurers, compliance advisors, and other external stakeholders as needed.

Intellectual Property

Oversee protection and commercialization of Spacebnb Co.s intellectual property portfolio, including trademarks, copyrights, trade secrets, proprietary systems, software assets, branding, domain names, platform architecture, and patent-related strategy where applicable.

Manage intellectual property clearance, registration, licensing, enforcement, monitoring, and infringement response.

Advise leadership on ownership rights, founder contributions, contractor-created works, employee inventions, open-source software usage, technology licensing, brand protection, and commercialization strategy.

Product, Platform & Data Governance

Advise product, engineering, operations, and leadership teams on legal issues related to platform design, user agreements, trust and safety, content moderation, dispute resolution, payments, data usage, privacy, cybersecurity, artificial intelligence, and user-generated activity.

Draft, review, and maintain platform legal documents, including Terms of Service, Privacy Policy, Community Guidelines, Host Agreements, Guest Agreements, Acceptable Use Policies, dispute resolution procedures, and related user-facing legal terms.

Support responsible innovation by helping the company anticipate legal risks before they become operational liabilities.

Employment & Internal Operations

Advise on employment law matters, including hiring, termination, contractor classification, workplace policies, compensation, equity incentives, confidentiality, non-solicitation, internal investigations, accommodations, and dispute prevention.

Develop legally compliant internal policies and support Human Resources or People Operations in maintaining fair, consistent, accessible, and defensible employment practices.

Litigation & Dispute Resolution

Manage disputes, claims, investigations, demand letters, regulatory inquiries, enforcement matters, and litigation.

Develop dispute resolution strategies that protect the companys legal position, reputation, financial interests, and long-term business relationships.

Select, coordinate, and supervise outside counsel when specialized litigation, regulatory, or jurisdiction-specific support is required.

Fundraising, Finance & Strategic Growth

Support venture financing, investor diligence, securities compliance, capitalization matters, SAFE or equity financing documents, debt arrangements, grants, acquisitions, strategic transactions, and other growth-related legal matters.

Work with finance and leadership teams to ensure legal compliance in fundraising, investor communications, financial disclosures, transaction execution, and corporate development.

Required Qualifications

Juris Doctor degree from an accredited law school.

Active license to practice law in at least one U.S. jurisdiction and good standing with the applicable bar.

Minimum of 812 years of relevant legal experience, preferably including a mix of law firm and in-house counsel experience.

Strong experience with corporate law, contracts, governance, regulatory compliance, intellectual property, employment law, and commercial transactions.

Demonstrated ability to advise executive leadership on complex legal and business issues.

Excellent drafting, negotiation, communication, analytical, and risk-assessment skills.

Ability to operate in a fast-moving startup or growth-stage company environment.

Strong judgment, discretion, ethics, and ability to balance legal protection with business execution.

Preferred Qualifications

Experience with marketplace platforms, hospitality, short-term rentals, real estate technology, travel technology, aerospace-adjacent ventures, SaaS, fintech, artificial intelligence, or emerging technology companies.

Experience supporting venture-backed startups, fundraising rounds, investor diligence, capitalization matters, and board governance.

Familiarity with privacy laws, data protection, cybersecurity compliance, platform liability, consumer protection, multi-state regulatory issues, accessibility, and technology-enabled business models.

Experience managing outside counsel and building legal operations from the ground up.

Background in intellectual property strategy, technology licensing, brand protection, patent portfolio coordination, or commercialization of proprietary systems.

Total compensation may include base salary, performance-based bonuses, equity or ownership participation, benefits, and other incentives, subject to company policy, board approval where applicable, and applicable law.
