Overview
The Real Estate Paralegal will play a vital role in PDS Health's Real Estate Department, specifically within the Real Estate Legal Group. Working alongside in-house and exterior real estate counsel, this position supports the transaction team in executing the real estate strategy and assists the Real Estate team in managing various real estate-related documents for PDS Health locations across the U.S. As a high-volume paralegal, this role requires strong process management skills and a business-oriented approach. Frequent collaboration with multiple internal departments and external parties is essential to ensure efficient and accurate handling of issues related to ongoing real estate activities under lease negotiations, lease renewals, SNDA documentation, Estoppel processing, terminations, and the drafting complex real estate documents.
Responsibilities
  • Draft and provide support on reviewing and redlining of retail leases, amendments, purchase and sale agreements (PSAs) as well as negotiation of independent contractor agreements
  • Third Party Agreements: Drafts, reviews, and negotiates Subordination, Non-Disturbance and Attornment (SNDA) agreements and Landlord Estoppel Certificates in collaboration with appropriate stakeholders.
  • Generate and/or reviews lease amendments, easement agreements and other real estate related documents, ensuring proper internal processes are followed for authorization, compliance, and document execution.
  • Zoning & Compliance: Assist attorneys and Real Estate team on any required zoning research, Master Plan Community waivers regarding naming restrictions, permitting, and regulatory compliance.
  • Portfolio Analysis: Review existing lease documents for actionable requirements as it relates to renewals, assignment provisions, operational due diligence and Landlord obligations afforded within said lease documents.
  • Assist with litigation support activities including document review and production, discovery management, deposition/trial/arbitration preparation, and coordination with outside litigation counsel; maintain litigation calendars and deadlines.
  • Coordinate and track legal project timelines and deliverables with foundational project management skills, including support for basic project planning and milestone tracking to ensure efficient completion of legal matters across the organization.
  • Maintain project documentation and status updates while facilitating coordination between legal team members and other departments to support integrated healthcare operations and technology-enabled patient care initiatives.
  • Propose process improvements by conducting analysis and evaluating the effectiveness of reports and databases.
  • Demonstrate proficiency with legal technology platforms and software tools; ability to quickly and effectively learn new systems and evolving technologies, support legal technology implementations, and provide basic troubleshooting and user support.
  • Help optimize workflows using available technology tools to support modern legal operations in a retail real estate environment that prioritizes integrated, technology-forward processes.
  • Act as a liaison with the organization's management, other internal clients and outside counsel.
  • Build strong, collaborative relationships with business partners and stakeholders, demonstrating a team-oriented approach while effectively communicating and aligning legal guidance with operational objectives.
  • Other duties as assigned by the Sr. Director of Real Estate, other attorneys, and management.

Qualifications
  • Bachelor's degree from an accredited college in a related field, or paralegal certificate from an ABA-accredited program in lieu of degree.
  • 5+ years of experience required or the equivalent combination of education and experience.
  • Employment law and litigation support experience including familiarity with real estate lease agreements, compliance documentation, discovery processes, and case management systems.
  • Basic understanding of or familiarity with corporate entities and partnership terminology and structure.
  • Ability and willingness to work in-person in Dallas, TX or Irvine, CA.

Preferred
  • Familiarity with Salesforce, Box, DocuSign e-Signature, DocuSign CLM (or other similar solution) and/or Workshare Professional.

  • Strong data/internet research and written and verbal communication skills with the ability to articulate complex legal concepts and documents.
  • In-depth knowledge of leases, legal concepts and documents related to commercial retail real estate with a particular focus on lease transactions and leasehold issues..
  • High energy and enthusiasm; ability to take initiative and make suggestions or volunteer ideas for improving overall department or individual productivity.
  • Problem-solving skills to gather and analyze information in order to identify and resolve problems in a timely manner.
  • Planning/organizing skills with effective prioritization and efficient use of time to develop realistic action plans.
  • Ability to multi-task effectively in a fast-paced, high-volume environment without compromising the quality of the work.
