Albemarle is hiring for a Subsidiary GovernanceManager. This position is hybrid and located in Charlotte, NC (in-office 3 days/week).

Therole willfocuson domestic and internationalentitygovernance, corporate records,andsubsidiary filings,with the opportunity to work cross-functionally andleverage technology to develop a best-in-class subsidiary governance function.The role also offers opportunities to gain exposure to broader corporate governance matters, includingpublic companyboard and committee support as well as SEC and NYSE disclosure processes.

What You Will Do

  • Maintain the Company's global portfolio of subsidiaries, including corporate records, minute books, governance platforms,andorganizational charts
  • Use technology andidentifyprocess improvements to streamline subsidiary governance activities, improve transparency, and reduce administrative burden
  • Manage global subsidiary governance activities, including annual filings, statutory requirements, and related governance documents, including resolutions, appointments, minutes, powers of attorney, and incumbency certificates
  • Partnerwith Tax, Treasury, Legal, Human Resources, and Commercial teams on entity formation,dissolution, and simplification,service of process,guarantees, banking resolutions, KYC requests, and relatedmatters
  • Managegovernance vendor relationships, includinghCue, CSC, registered agents, outside counsel, and other service providers
  • Develop,maintain, and enhance subsidiary governance policies, procedures, and training materials
  • Assist, as needed, with broader corporate governance and public company matters, including Board and committee support, SEC and NYSE disclosure processes, and related governance projects

What You Bring

  • 5+ years of relevant subsidiary governance, entity management, corporate records,orcorporate governanceexperience
  • Self-starter with strong attention to detail, organizational, and communicationsskills, and the ability to manage multiple time-sensitive workstreams
  • Experienceusing technologyand governance vendorsto efficiently managelegal entity records, subsidiary filings,andcorporate documentation
  • Experience or interest in broader public company governance matters, includingsupport on Board of Directors, SEC, and NYSE items
  • Must have a North Carolina Notary Public credential or obtain within90 daysof hire date.
