About Orum Therapeutics

Orum Therapeutics is a clinical-stage biopharmaceutical company headquartered in Daejeon, Republic of Korea, with wholly-owned subsidiary in the United States. Orum is focused on developing next-generation antibody-drug conjugates(ADCs) and targeted protein degradation therapeutics. As Orum advances its pipeline and expands its global operations, we are seeking a senior legal leader to anchor our legal function at the corporate level.


General Summary

The Head of Legal serves as Orum Therapeutics' most senior legal officer, providing comprehensive legal counsel to the company's executive team, Board of Directors, and cross-functional leadership. This individual will be the primary legal authority for the Korean headquarters and global subsidiary, while providing strategic oversight to the US in-house counsel (responsible for US-jurisdiction matters) and the Director of Intellectual Property (responsible for the global IP portfolio). The Head of Legal will play a pivotal role in enabling Orum's scientific and commercial ambitions through disciplined legal risk management across all geographies and business functions.

Principal Duties and Responsibilities

Legal Function Leadership & Executive Advisory

  • Serve as a member of the Executive Team and trusted legal strategic advisor to the CEO, the Board, and Leadership.
  • Own global legal strategy, policy, external counsel selection, and budget.
  • Build a high-performing global legal function sized for Orum today and scalable for growth.
  • Set the legal voice at the leadership table on strategic decisions-partnership and licensing, financing, governance, talent, and risk.

KOSDAQ Governance & Public Company Compliance

  • Lead Orum's KOSDAQ governance program and act as the senior legal point of contact for the Board of Directors and the Internal Auditor.
  • Design and steward the Internal Control Management System (ICMS) to satisfy KOSDAQ requirements
  • Partner with Investor Relations on DART filings, disclosure controls, and material disclosure decisions; ensure legal integrity of public communications while allowing IR to lead execution.
  • Advise the Board on fiduciary, governance, and disclosure matters consistent with the Korean Commercial Act and KOSDAQ rules.

Global Transactional & Strategic Counsel

  • Provide senior counsel on partnership and licensing deals, equity transactions and other strategic transactions.
  • Provide strategic oversight and governance to the Director of Intellectual Property (US-based), ensuring global IP strategy aligns with corporate objectives.
  • Set the legal framework for clinical, manufacturing, commercial, and business development agreements as Orum's pipeline matures.
  • Oversee equity, stock options, and corporate governance mechanics globally.
  • Anticipate the legal demands of late-stage clinical development, commercialization, and capital markets activity, and build the function ahead of them.
  • Set the legal bar for cross-border data flows, intercompany agreements, and KR-CN, KR-US entity governance.
  • Own KR-side legal matters at the strategic level: employment law, commercial relationships, regulatory compliance, and administrative matters
  • Manage Korean and Chinese external counsel relationships; drive quality, billing discipline, and cycle-time.
  • Translate global legal strategy into actionable local procedures so the legal team in US operates in sync with strategic initiatives.

Risk, Ethics & Cross-Border Operations

  • Lead enterprise legal risk management; partner with Internal Auditor on controls testing and compliance program execution.
  • Own the policy framework for anti-corruption, data privacy, ethics, and the whistleblower program (operated by Compliance Operations).
  • Develop and maintain litigation hold procedures and coordinate with the Internal Auditor in response to investigations or regulatory inquiries.
  • Advise proactively on legal risk mitigation strategies to reduce the likelihood of disputes.

Skills, Abilities & Competencies

Must-have

  • Licensed Korean Attorney required; deep Korean public-company experience as in-house counsel or at a top-tier Korean law firm.
  • Minimum 12-15 years of legal experience, with significant time spent in a top-tier Korean law firm and/or in-house legal department of a life sciences, biopharmaceutical, or technology company.
  • Demonstrated expertise in Korean corporate law, commercial transactions, and regulatory compliance.
  • Excellent written and verbal communication skills in Korean; working proficiency in English required to effectively oversee US-based direct reports and manage international counterparties.
  • Demonstrated leadership of a legal function-or partner-track ownership of major Korean public-company client portfolios.
  • Proven experience managing cross-border transactions and coordinating legal work across multiple jurisdictions, particularly the US and China.

Preferred

  • Life sciences, biotech, or pharma industry experience-particularly with cross-border (US-KR) operations and clinical-stage company dynamics.
  • Hands-on experience designing or operating an Internal Control Management System (ICMS) for a KOSDAQ-listed company.
  • Knowledge of Chinese commercial law and experience working with PRC-based legal counsel.
  • Track record managing US-based external counsel or US legal partners on securities, M&A, or biotech transactions.
  • Track record advising public-company boards and senior executives on governance, disclosure, and material risk. US legal training, US-firm secondment, or KR-origin/US-educated bilingual profile.
