Job description

The Senior Legal Counsel will serve as aย leader and strategic advisor supporting the Company's growing U.S. renewable energy platform. Reporting to senior leadership and partnering cross-functionally, the AGC will provide comprehensive legal guidance across project development, commercial contracting, corporate governance, compliance, and strategic transactions.

This role is ideal for a commercially minded attorney who thrives in a fast-paced, high-growth environment and is motivated to help scale the legal infrastructure of a leading clean energy developer.

Strategic Legal Advisory

  • Serve as a trusted advisor to executive leadership and business teams on corporate, commercial, regulatory, litigation, and insurance matters.
  • Translate legal risk into clear, practical business guidance.
  • Support strategic planning and growth initiatives across the U.S. platform.

Project Development & Commercial Contracting

  • Draft, review, and negotiate complex commercial agreements, including EPC, O&M, procurement, technology, supply, development services, and partnership agreements.
  • Support all stages of renewable energy project development, including:
    • Site control and real estate matters
    • Permitting and regulatory approvals
    • Interconnection agreements
    • Construction and vendor contracts
    • Power purchase and offtake arrangements
  • Develop and maintain contract templates, playbooks, and negotiation standards to enhance efficiency and consistency.

Transactions & Financing

  • Provide legal support for M&A transactions, joint ventures, strategic investments, and project-level acquisitions or divestitures.
  • Assist with tax-equity financing, debt financing, and related transaction documentation.
  • Coordinate and manage external counsel and transaction stakeholders.

Corporate Governance & Compliance

  • Oversee subsidiary governance, approvals, and corporate recordkeeping.
  • Prepare and manage Board materials, minutes, resolutions, and written consents.
  • Design and implement compliance frameworks, preventive-law strategies, and risk mitigation processes.
  • Support insurance strategy and claims management as needed.

Legal Operations & Team Leadership

  • Improve legal operations, workflows, and documentation processes.
  • Oversee outside counsel relationships and budget management.
  • Mentor junior legal team members and contribute to building a scalable legal function.

Requirements

  • Juris Doctor (JD) from an accredited law school.
  • Admission to practice law in at least one U.S. jurisdiction.
  • Minimum 7 years of legal experience, with significant exposure to renewable energy, project development, commercial transactions, and/or project finance.
  • Demonstrated experience drafting and negotiating complex commercial agreements.
  • Experience supporting or leading strategic transactions (M&A, joint ventures, tax equity, or project finance).
  • Strong business judgment and pragmatic problem-solving abilities.
  • Excellent written and verbal communication skills.
  • Ability to work onsite in Boston on a hybrid schedule (3 days per week).
  • Ability to travel domestically and internationally as needed.
