Job description

Direct Counsel is seeking a Senior Business Transactional Attorney with 8+ years of experience to join a sophisticated corporate and business transactions practice serving clients across a broad range of industries. This is an outstanding opportunity for an experienced attorney who enjoys advising businesses through complex transactions, entity structuring, and strategic corporate matters.

The ideal candidate will have substantial experience handling business and corporate transactions, providing practical legal advice, and serving as a trusted advisor to business owners, executives, and stakeholders.

Responsibilities
  • Advise clients on a wide range of corporate and business transactions
  • Form and structure limited liability companies, partnerships, and other business entities
  • Draft and negotiate buy-sell agreements, operating agreements, partnership agreements, and related governance documents
  • Handle entity conversions, restructurings, and other corporate transactions
  • Draft, review, and negotiate asset purchase agreements and related transaction documents
  • Provide strategic counsel on corporate governance, ownership transitions, and operational matters
  • Collaborate with clients and colleagues to manage sophisticated transactions from inception through closing
Qualifications
  • 8+ years of corporate and business transactional experience
  • Significant experience with entity formation, governance, buy-sell arrangements, entity conversions, and asset acquisitions
  • Strong drafting, negotiation, analytical, and client counseling skills
  • Experience with real estate transactional documents, including leases, purchase and sale agreements, ground leases, and easement agreements, is a plus but not required
  • Ability to independently manage complex transactions and maintain strong client relationships
  • California Bar admission required
Compensation & Benefits
  • Base salary range: $207,000 – $225,000
  • Annual performance-based and billable hours bonuses
  • Mainly Remote – Must reside in California!
