Fund Formation & Investment Management Associate Attorney AmLaw 100 Opportunity Compensation

$235,000 โ€“ $390,000+

A nationally recognized AmLaw 100 firm is seeking a Fund Formation & Investment Management Associate Attorney to join its Boston office.

This opportunity is ideal for an attorney interested in representing private equity sponsors, venture capital funds, real estate funds, private credit funds, hedge funds, and institutional investment managers in sophisticated fund formation and investment management matters.

Ideal Background
  • 3โ€“6 years of investment management and fund formation experience gained at a sophisticated law firm
  • Experience representing private equity funds, venture capital funds, private credit funds, hedge funds, real estate funds, and other private investment vehicles
  • Experience forming and structuring private investment funds from inception through fundraising and ongoing operations
  • Experience drafting and negotiating limited partnership agreements, operating agreements, private placement memoranda, subscription agreements, side letters, management agreements, and other fund documentation
  • Experience advising sponsors and investment managers on fund governance, regulatory compliance, investor negotiations, and operational matters
  • Familiarity with the Investment Advisers Act, Investment Company Act, Securities Act, and related federal securities laws
  • Experience supporting secondary transactions, co-investments, continuation funds, carried interest arrangements, and other private fund transactions is a plus
  • Strong drafting, negotiation, analytical, and client counseling skills
  • Ability to independently manage sophisticated transactions while maintaining significant client interaction
  • Excellent academic credentials
  • J.D. from an ABAโ€‘accredited law school required
  • Massachusetts bar admission required or ability to become admitted
