Position: Tax Associate Attorney (Fund Formation)
Location: Chicago (with flexibility to sit in New York or Palo Alto)
Experience Level: 5+ years

Compensation: $365,000+

About the Role:
Direct Counsel is partnering with an Am Law 100 firm to find a highly skilled Tax Associate Attorney with experience in fund formation. This is an opportunity to join a nationally recognized tax practice and work with sophisticated venture capital and private equity fund sponsors and investors.

Key Responsibilities:

  • Advise fund sponsors and investors on investment fund formations, including venture and private equity funds.

  • Counsel clients on primary and secondary investments, joint ventures, and related tax matters.

  • Manage multiple complex matters simultaneously while maintaining strong client relationships.

  • Collaborate with a high-performing team on sophisticated transactions within a premier practice group.

Ideal Candidate:

  • 5+ years of tax experience focused on fund formation.

  • Strong background working with venture funds, private equity funds, and institutional investors.

  • Demonstrated ability to take initiative, think strategically, and solve complex problems.

  • Excellent client management skills and the ability to succeed in a fast-paced environment.

  • Strong academic credentials from a nationally recognized law school.

Compensation & Benefits:
The expected annual compensation for this role starts at $365,000, with adjustments based on location, experience, and skillset. The firm offers a robust suite of benefits, including:
