A leading law firm is seeking an experiencedFund Formation Senior Paralegalto provide high-level paralegal support for attorneys and senior paralegals in venture fund and emerging company matters. This role is ideal for a detail-oriented professional with5+ years of paralegal experience, strong organizational skills, and a passion for corporate and fund formation work.

What You'll Do:

  • Assist with all aspects of emerging company and venture fund work, including preparation and maintenance oforganizational documents, partnership/LLC agreements, side letters, transfer agreements, and admission agreements.

  • Conductinvestor suitability due diligenceand review documents for fund formation matters.

  • Conduct research onFederal and State securities regulationsand assist with SEC compliance reporting for venture fund clients.

  • Prepare and file requisite notices, conduct due diligence reviews, and assist with preparation of opinions and backup documentation.

  • Complete time sheets, e-timelogs, and other administrative tasks in a timely manner.

  • Perform additional duties as assigned to support attorneys and the fund formation team.

What You'll Bring:

  • Bachelor's degreerequired; Paralegal Certificate preferred.

  • Minimum5 years of paralegal experience, ideally in Fund Formation.

  • Ability to work independently and as part of a team in afast-paced environment, manage multiple supervisors, and meet deadlines.
