Job description

Our law firm client is seeking a Fund Formation Paralegal to support attorneys with venture fund and fund formation matters. This is an excellent opportunity for a detail-oriented paralegal with experience in private funds, venture capital, and corporate transactions who thrives in a fast-paced legal environment.


Multiple Locations Available: San Francisco, Palo Alto, Chicago, Denver, Seattle, Los Angeles/Santa Monica, or San Diego


Responsibilities

  • Assist with all aspects of fund formation and venture fund matters.
  • Prepare and maintain organizational and formation documents.
  • Draft partnership agreements, LLC agreements, side letters, transfer agreements, admission agreements, and amendments.
  • Conduct investor suitability and due diligence reviews.
  • Research federal and state securities regulations related to fund formation.
  • Prepare and file required regulatory notices and filings.
  • Support fund formation transactions, opinions, and related documentation.
  • Assist with SEC compliance reporting for venture fund clients.
  • Provide general administrative and matter management support as needed.


Qualifications

  • Bachelor's degree required; Paralegal Certificate preferred.
  • 1-3 years of fund formation, private funds, or venture capital experience.
  • Strong understanding of fund structures, corporate entities, and securities regulations.
  • Excellent organizational, communication, and proofreading skills.
  • Ability to manage multiple priorities and meet deadlines in a fast-paced environment.
  • Strong attention to detail and ability to work independently and collaboratively.
