About SEG Solar

Founded in 2021 and based in Houston, Texas (Cypress area), SEG Solar is a leading solar module manufacturer committed to delivering high-quality products and advancing clean energy solutions. Our vertically integrated supply chain supports utility‑scale, commercial, and residential solar projects, with a strong emphasis on operational excellence, safety, and compliance.

Position Overview:
SEG Solar is seeking an Associate General Counsel to support our General Counsel, COO, CEO and sales team in managing day-to-day legal activities, with a particular emphasis on transactional work, including drafting and negotiating module purchase agreements, contractor/vendor agreements and other commercial contracts. This role requires a detail-oriented, business-minded attorney who can operate independently and handle both complex negotiations and day-to-day legal tasks, including preparing written communications to, and interfacing directly with, customers and other third parties.

Key Responsibilities:

  • Draft, review, and negotiate purchase agreements, supplier agreements, intercompany agreements and facility equipment, construction and leasing agreements.
  • Interface directly with internal stakeholders and provide clear, business-focused legal advice on contract terms, payment structures, insurance, bonding, and regulatory compliance.
  • Prepare and send formal notices, default letters, and other contractual communications to customers and other third parties.
  • Support project teams with contract interpretation, enforcement, and compliance tracking.
  • Resolve or assist in handling disputes, claims, and litigation matters.
  • Ensure all contracts comply with federal, state, and local laws.
  • Coordinate with external counsel on specialty or complex matters.
  • Maintain organized records of contract versions, amendments, approvals, and deadlines.
  • Review NDAs, vendor agreements, and internal policies as needed.
  • Maintain corporate minutes books and attend to organizational documents and filings.

Qualifications:

  • Juris Doctor (JD) from a US institution and active license to practice law in any US jurisdiction.
  • 4–7 years of experience in legal transactional work, ideally with exposure to UCC/commercial transactions and supply agreements for sales of goods.
  • Strong understanding of contract law, negotiation strategies, and risk management as it relates to manufacturers and sellers.
  • Ability to work across departments in a broad range of practice areas.
  • Excellent organizational skills and attention to detail.
  • Strong written and verbal communication abilities.
  • Proficiency with Microsoft Office and contract management tools.

Work Setting and Schedule:

  • Office based in Houston, TX (Cypress)
  • Monday through Friday, 8-hour shift
  • Remote work possible up to 1 day per week
