The Executive Assistant for the Head of Legal Counsel and Corporate Secretary provides high-level executive, governance, administrative, logistical, and coordination support to the Legal Counsel team, Board of Directors, Executive Leadership Team (ELT), and other senior stakeholders as required. The role supports effective governance processes, Board and Committee operations, meeting coordination, confidential documentation, annual governance activities, travel arrangements, and special events.

This position plays a key role in ensuring the seamless flow of information, materials, recommendations, and decisions between management, Board Committees, and the Board of Directors. The incumbent is responsible for coordinating governance activities, maintaining Board and Committee records, supporting annual governance cycles, preparing and distributing meeting materials, and tracking action items and governance deliverables.

What You'll Be Doing 

Board & Governance Support 

  • Manage the flow of information, materials, recommendations, and decisions between management, Board Committees, and the Board of Directors.
  • Coordinate Board and Committee meeting schedules, annual governance calendars, and recurring governance activities.
  • Prepare, compile, review, and distribute Board and Committee materials, including agendas, memoranda, briefing notes, resolutions, and supporting governance documentation.
  • Attend Board and Committee meetings and prepare accurate, comprehensive minutes, ensuring discussions, decisions, and action items are appropriately documented.
  • Maintain governance records, action registers, and decision logs, and monitor follow-up activities and key deliverables to ensure timely completion.
  • Support annual governance processes, including Board work plans, evaluations, governance planning activities, and related reporting requirements.

Executive & Administrative Support

  • Provide high-level executive and administrative support to the Legal Counsel team.
  • Manage complex calendars, scheduling priorities, meeting requests, and competing deadlines.
  • Coordinate meetings, prepare materials, and ensure timely follow-up on commitments and action items.
  • Prepare correspondence, presentations, reports, and other business documentation.
  • Manage travel arrangements, itineraries, accommodations, and expense administration as required.

Director Onboarding, Services and Support

  • Coordinate onboarding for newly elected and appointed Directors.
  • Arrange building access, security credentials, technology equipment, and system provisioning.
  • Coordinate required system access and onboarding activities with internal stakeholders.
  • Provide Directors with governance resources, orientation materials, and administrative support.
  • Serve as a primary point of contact for Director administrative and operational requirements.

Stakeholder Coordination 

  • Act as a key liaison between Legal Counsel, executives, Board members, Committee members, and internal stakeholders.
  • Build and maintain effective working relationships across the organization to facilitate collaboration and information sharing.
  • Coordinate communications and requests among multiple stakeholder groups while maintaining confidentiality and professionalism.

Governance Operations & Continuous Improvement 

  • Support the annual cycle of Board and Committee activities, ensuring the effective flow of information from management to Committees and the Board.
  • Identify opportunities to enhance governance administration, meeting processes, and document management practices.
  • Anticipate stakeholder needs, resolve scheduling and logistical challenges, and proactively address governance-related issues.
  • Ensure all governance activities are completed accurately, efficiently, and in accordance with organizational policies and governance requirements.

What You Bring

Experience and Education

  • 5 - 7 years of experience providing executive-level administrative support.
  • Certificate, diploma, degree, or professional designation in Administrative Information Management or a related field.
  • Experience supporting a Board of Directors is considered an asset.
  • An equivalent combination of education and relevant experience will be considered.

Key Competencies for Success 

  • Independent thinker with the ability to anticipate needs and work proactively with minimal direction.
  • Exceptional minute-taking and documentation skills.
  • Strong ability to manage the annual Board governance cycle and related information flow.
  • Proven ability to coordinate the movement of materials and decisions from Board Committees to the Board of Directors.
  • Strong written communication skills, including the ability to draft initial Board and Committee memoranda and governance documentation.
